Business Event Minifest Agreement

Parties and Recitals

This Business Event Minifest Agreement ("Agreement") is made between Organizer Name: and Host Name: (collectively, the "Parties").

WHEREAS, Organizer produces and manages small-scale business festivals and promotional events under the trade name or business of Organizer Name: to promote local businesses and professional networking; and

Event Details

Scope of Work

Organizer will provide the services described below. Organizer shall perform services in a professional manner consistent with industry standards and shall coordinate all vendors contracted by Organizer unless otherwise agreed in writing.

Payment Terms

Host agrees to pay Organizer the Total Fee specified below in consideration for Organizer's services. All fees are exclusive of taxes, which shall be borne by Host.

Any amount not paid within the grace period shall incur a late fee equal to of the overdue amount plus interest at until paid. The grace period is days from the invoice date.

Term and Termination

This Agreement commences on Start Date: and terminates on End Date: unless earlier terminated under this Agreement.

Either Party may terminate for convenience by providing written notice to the other Party at least days prior to the effective termination date. Termination for cause shall be effective immediately upon written notice if the breaching Party fails to cure a material breach within 15 days after receipt of written notice.

Confidentiality

Each Party shall treat Confidential Information of the other Party as confidential and shall not disclose such information to third parties except to employees, contractors, or vendors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information does not include information which is or becomes publicly known through no wrongful act of the receiving Party, is rightfully received from a third party without restriction, or is independently developed by the receiving Party.

Insurance, Permits and Compliance

Host shall, at Host's expense, obtain and maintain all permits, licenses, and approvals required by local authorities for the Event. Organizer shall maintain commercial general liability insurance at minimum limits of and shall provide certificates of insurance upon request.

Cancellation and Refunds

If Host cancels the Event more than days prior to the Event start date, Organizer will refund amounts paid minus non-refundable expenses. If Host cancels within the specified period, all deposits are non-refundable. If Organizer cancels for reasons other than Host breach, Organizer shall refund all amounts paid by Host.

Indemnification

Each Party shall indemnify, defend and hold harmless the other Party and its officers, directors, employees and agents from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying Party's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the indemnified Party's negligence or willful misconduct.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of State: without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be resolved by binding arbitration conducted in the county or jurisdiction agreed by the Parties.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment must be in writing and signed by both Parties.

Miscellaneous

Notices under this Agreement shall be in writing and delivered to the addresses set forth below. The invalidity or unenforceability of any provision shall not affect the remaining provisions. Headings are for convenience only and do not affect interpretation.
