WHEREAS, Provider represents that it has professional experience, personnel, and resources necessary to perform the services described herein and is willing to perform such services for Client in accordance with this Proposal; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Proposal and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

All payments shall be made by Client to Provider by the payment dates specified. Provider's failure to deliver services for reasons other than Client breach entitles Client to a refund of amounts paid for undelivered services. Provider may suspend services for nonpayment after notice and the expiry of five (5) business days following such notice.

Either party may terminate this Proposal for material breach that is not cured within fourteen (14) days after receipt of written notice. Termination by Client without cause after the deposit due date shall not relieve Client of payment obligations for work performed and non-cancellable commitments incurred by Provider prior to termination.

Confidentiality

Each party agrees to hold confidential and not disclose to any third party any non-public information obtained from the other party in connection with this Proposal, including budgets, attendee lists, contracts with third-party vendors, and pricing (collectively, "Confidential Information"). Confidentiality obligations shall continue for years following the termination or expiration of this Proposal, except to the extent disclosure is required by law or necessary to perform the services and only then after reasonable notice to the disclosing party.

Liability and Insurance

Provider shall maintain commercial general liability insurance and, where applicable, workers' compensation insurance. Except for willful misconduct or gross negligence, Provider's aggregate liability arising out of or related to this Proposal shall be limited to the total fees paid by Client to Provider under this Proposal.

Governing Law

This Proposal shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Proposal, including all attachments and accepted statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
