Recitals

WHEREAS, Organizer conducts business events, conferences and related activities and offers the Event identified above for registration on the terms and conditions set forth herein; and

WHEREAS, Registrant seeks to register and participate in the Event and agrees to the payment, confidentiality and other obligations described in this Registration and Agreement; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained in this Registration and Agreement, the parties agree as follows.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days following written notice. For convenience, Organizer may cancel the Event upon days' written notice, in which case Organizer's liability is limited to refunding prepaid registration fees.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any Confidential Information of the other party disclosed in connection with the Event. "Confidential Information" includes non-public information relating to business operations, attendees, pricing, marketing plans, technical materials, and any other proprietary information identified in writing as confidential. Confidential Information does not include information that (a) is or becomes publicly available through no breach of this Agreement; (b) is rightfully received from a third party without restriction; or (c) is independently developed without use of the other party's Confidential Information.

Liability, Insurance and Indemnity

Registrant agrees to indemnify, defend and hold harmless Organizer and its officers, employees and agents from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Registrant's negligence, willful misconduct or breach of this Agreement. Organizer shall maintain general liability insurance for the Event but shall not be liable for indirect, incidental, special or consequential damages.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. The parties agree that exclusive venue for any disputes shall be the state or federal courts located in the same state, and the parties consent to personal jurisdiction therein.

Entire Agreement; Amendments

This Registration and Agreement, including any attached schedules or written confirmations, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. This Agreement may be amended only by a written instrument signed by both parties.

By signing below, Registrant certifies that the information provided in this Registration is true and complete, agrees to pay all fees in accordance with the Payment Terms, and acknowledges receipt of and agreement to all terms contained in this Registration and Agreement.
