BUSINESS EVENT SALES RETREAT AGREEMENT

Recitals

WHEREAS, Client desires to engage Provider to plan, organize and deliver a sales retreat event focused on business development, sales training, and client acquisition (the "Retreat"); and

WHEREAS, Provider represents that it has the qualifications, experience and personnel necessary to provide the services described in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will provide Retreat services and Client will compensate Provider.

Provider shall perform the services described below. Provider agrees to deliver professional services in a timely manner and in accordance with industry standards.

All payments shall be made in United States Dollars unless otherwise agreed in writing. Provider shall invoice Client in accordance with the payment schedule. Client must notify Provider in writing of any disputed charges within ten (10) days of receipt of an invoice.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Either party may terminate without cause upon days prior written notice to the other party.

Upon termination, Client shall pay Provider for all services performed and approved out-of-pocket costs incurred through the effective date of termination. Any pre-paid, unearned fees shall be refunded on a pro rata basis, subject to deductions for non-cancellable commitments made by Provider in good faith.

Confidentiality

"Confidential Information" means non-public technical, business and financial information disclosed by one party to the other in connection with this Agreement. The receiving party shall (i) hold Confidential Information in confidence and not disclose to any third party except as authorized hereunder, (ii) use Confidential Information solely to perform its obligations under this Agreement, and (iii) take reasonable measures to protect the confidentiality of such information no less protective than those used to protect its own confidential information.

Confidentiality Duration:   The obligations set forth do not apply to information that is (a) already known by the receiving party without obligation of confidentiality, (b) publicly available through no fault of the receiving party, or (c) required to be disclosed by law or valid governmental order, provided the receiving party gives prompt notice to the disclosing party to allow for protective measures.

Insurance, Indemnification and Liability

Provider shall maintain commercially reasonable insurance coverage (including general liability and professional liability) covering the performance of services under this Agreement. Upon request, Provider shall provide certificates of insurance to Client.

Each party shall indemnify, defend and hold harmless the other party from and against third party claims arising out of its negligent acts or willful misconduct in connection with this Agreement; provided, however, that neither party's liability for direct damages shall exceed the total fees paid under this Agreement in the twelve (12) month period preceding the claim. In no event shall either party be liable for consequential, special, incidental or punitive damages.

Cancellation and Force Majeure

Cancellation by Client within days of the Event Start Date shall result in a cancellation charge equal to of the Total Fee to cover non-recoverable costs. Cancellation earlier than that may be subject to a reduced cancellation fee reflecting actual costs incurred.

Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, epidemics, governmental actions, labor disputes, or severe weather ("Force Majeure"). The affected party shall promptly notify the other and use reasonable efforts to mitigate the impact.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes through negotiations. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration in accordance with the parties' agreement to arbitrate.

Entire Agreement; Amendments

This Agreement, including its attachments and any written statements of work executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Representations and Further Assurances

Each party represents that it has the power and authority to enter into this Agreement and that the person signing below is authorized to bind the party. Each party agrees to execute and deliver such further documents and take such further actions as may be reasonably necessary to carry out the purposes of this Agreement.
