What a Business Exit Resolution Is and When It’s Used

A Business Exit Resolution is a formal corporate record documenting a company’s authorized exit action, such as dissolution, sale, transfer of ownership, withdrawal of a partner, or resignation of an officer. It records the decision-making body (board, members, or managing partners), the authority granted, specific actions approved, and the effective date. The resolution typically accompanies minutes, closing documents, transfer instruments, and filings with state agencies or financial institutions. Properly drafted resolutions provide legal clarity for third parties, preserve corporate formalities, and support post-exit compliance with tax and regulatory obligations.

Why a Clear Resolution Matters for Exiting a Business

A concise, dated resolution provides proof of authorized action, clarifies signatory authority for banks and purchasers, supports state filings, and reduces disputes. It helps preserve corporate formalities and creates an auditable record to satisfy regulators, lenders, and tax authorities.

Why a Clear Resolution Matters for Exiting a Business

Who Typically Prepares and Signs an Exit Resolution

The Business Exit Resolution is most often prepared by in-house counsel, corporate secretaries, managing members, or external attorneys to document board or member approvals before an exit transaction.

  • Board of Directors or Managers who approve corporate-level dispositions and sign ancillary closing documents.
  • Company Officers (CEO, CFO, Secretary) who execute transfer paperwork and provide bank instructions.
  • Buyers, banks, or escrow agents who require certified corporate authorization for release or transfer of assets.

The document should be retained in corporate records and supplied to third parties that request certified copies during closing, payout, or dissolution processes.

Step-by-step: Preparing and Finalizing an Exit Resolution

Follow these sequential steps to create an enforceable exit resolution, from drafting through execution and distribution.

  • 01
Draft Resolution: State the action, parties involved, and precise authority requested.
  • 02
Obtain Approval: Record board/member vote or written consent and include vote tally.
  • 03
Execute Documents: Have authorized signers sign, date, and attest as required.
  • 04
File and Distribute: Provide certified copies to banks, buyers, and file any state forms.

Core components to include in a professional resolution

A well-structured resolution contains defined sections that establish authority, describe the action, and provide verifiable signatures and attestations.

Resolution Caption

Short heading with entity name and purpose. Use clear language so banks and registries immediately recognize the document’s intent and relevance.

Recitals

Background facts that explain why the board or members are acting. Include references to relevant agreements, dates, and prior approvals where applicable.

Resolved Clauses

Enumerated operative clauses that authorize the specific exit action, name responsible officers, and set limits or conditions on authority granted.

Effective Date

A clearly stated effective date, and if different, the date of execution. This determines when rights and obligations take effect for third parties and tax purposes.

Signatures and Attestation

Signature blocks for authorized officers, corporate secretary attestation, and optional corporate seal. Include printed names, titles, and dates to aid verification.

Attachments

Exhibits such as purchase agreements, assignment instruments, and certified meeting minutes that support and implement the resolution’s directives.

Essential identifying details to record

Entity Name: Exact legal name
State of Formation: Charter state
Document Date: MM/DD/YYYY
Authorized Signers: Names and titles
Meeting Record: Vote method and tally
Attachments: Support docs listed

Key risks and potential consequences of errors

Invalid Transfer: Third parties may reject transfers
Bank Refusal: Accounts or funds withheld
Tax Exposure: Incorrect reporting consequences
Creditor Claims: Unaddressed liabilities remain
Personal Liability: Officers risk claims
Delays: Closing or dissolution slows

Common mistakes to avoid when preparing the resolution

  • Using informal or vague language that fails to specify the scope of authority, creating ambiguity for banks or buyers when verifying signatory power.
  • Failing to record or attach certified meeting minutes or written consents that demonstrate the board or members properly authorized the exit action.
  • Omitting the effective date or using conflicting dates across documents, which can create uncertainty for tax reporting and transfer timing.
  • Not verifying whether the purchaser, escrow agent, or lender requires notarized or certified copies, leading to unexpected rework at closing.

Where to send signed resolutions and typical routing

After execution, distribute certified copies to the parties and file or record where required; follow these typical routing steps.

  • Corporate Records: Retain original in minute book
  • Buyer/Escrow: Provide certified copy for closing
  • Bank/Finance: Supply to release or redirect funds
  • State Filing: File dissolution or amendment if required
