WHEREAS

WHEREAS, Client desires that Provider perform certain goods and/or services as described below in a manner consistent with the standards and schedules set forth in this Agreement; and

WHEREAS, Provider represents that it has the necessary expertise, personnel and resources to perform the services and deliverables identified herein and agrees to perform such services in accordance with the terms and conditions of this Agreement.

SCOPE OF WORK

PERFORMANCE STANDARDS

Provider shall perform the services in a professional and workmanlike manner consistent with industry standards. Performance metrics, acceptance criteria, and remedies for failure to meet standards are as follows:

PAYMENT TERMS

Provider will submit invoices to Client. Payment is due within days of invoice receipt. Late payments shall accrue interest at % per month or the maximum allowed by law, whichever is lower.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice. Additionally, either party may terminate without cause by providing days' prior written notice.

CONFIDENTIALITY

Each party acknowledges that in the course of performing its obligations it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed that is designated confidential or that ought reasonably to be understood as confidential. Receiving party shall (a) hold Confidential Information in strict confidence, (b) use it solely to perform obligations under this Agreement, and (c) not disclose it to third parties except to employees or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential obligations survive termination for a period of three (3) years, except for trade secrets which remain protected to the extent permitted by law.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Provider grants Client a non-exclusive, non-transferable license to use deliverables for Client's internal business purposes. Provider retains all ownership of pre-existing materials and intellectual property not specifically transferred in writing. Any transfer of ownership shall be documented by a separate written instrument.

REPORTING AND COMMUNICATION

DISPUTE RESOLUTION AND GOVERNING LAW

The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through direct negotiation. If unresolved, disputes shall be resolved in the courts located within the jurisdiction of and governed by the substantive laws of that jurisdiction, without regard to conflict of law principles, unless the parties mutually agree in writing to binding arbitration.

LIMITATION OF LIABILITY

Except for damages arising from willful misconduct or gross negligence, each party's aggregate liability to the other arising under or relating to this Agreement shall not exceed the total amounts paid by Client to Provider under this Agreement in the twelve (12) months preceding the claim. Neither party shall be liable for consequential, incidental, special or punitive damages.

ENTIRE AGREEMENT AND AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment shall be effective unless in writing and executed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the contact addresses set forth above or to such other address as a party may designate in writing. Notice shall be deemed given upon personal delivery, three (3) days after deposit with a nationally recognized courier, or two (2) days after transmission by email with confirmation of receipt.
