What the Business Exposure Copy Is

The Business Exposure Copy is a standardized document used by organizations to record and disclose a company’s material exposures, liabilities, and risk-assessment summaries for counterparties, insurers, regulators, or internal stakeholders. It compiles factual data about contracts, pending claims, financial contingencies, and operational vulnerabilities, often accompanied by supporting schedules. The document serves as a single-reference disclosure during due diligence, underwriting, procurement, or governance reviews and can be executed electronically when parties consent under applicable U.S. e‑signature law. Records should be precise, dated, and include references to source documents for verification.

Why a Business Exposure Copy Matters

A clear Business Exposure Copy centralizes disclosure, improves transparency for due diligence and underwriting, and reduces negotiation delays by providing verifiable summaries of exposures. It supports compliance, auditability, and consistent decision-making across operational, legal, and financial teams.

Why a Business Exposure Copy Matters

Who Prepares and Receives This Document

Internal risk, legal, finance, and compliance teams prepare Business Exposure Copies to support due diligence, insurance underwriting, or internal governance reviews.

  • Risk management teams compiling quantified exposure schedules, historical incident data, and mitigation actions for internal review and insurers.
  • Corporate legal counsel providing contract summaries, pending litigation disclosures, and references to governing agreements for due diligence.
  • External counterparties and insurers requesting verified exposures, policy limits, loss runs, and supporting documentation during negotiation.

A clear recipient list and distribution control reduce inadvertent disclosure and ensure only authorized parties access the copy.

Essential Sections to Include in a Professional Copy

A professional Business Exposure Copy organizes disclosures into consistent sections, timelines, quantified exposures, supporting schedules, and a signed declaration to aid verification and auditing.

Executive Summary

Concise statement of material exposures, top-level quantification, time horizons, and a summary of key actions taken or planned; helps readers prioritize detailed schedules in subsequent sections.

Exposure Schedule

Detailed table listing individual exposure items, dollar amounts or probability ranges, relevant contractual references, dates, and the person or department responsible for monitoring and remediation; format for spreadsheet import recommended.

Contracts

Summaries of material contracts, termination rights, indemnities, and warranty claims with clause citations and copies or links to executed agreements for validation during due diligence and audit.

Claims & Litigation

Current and historical claim listings, case numbers, estimated reserves, counsel contact, status updates, and potential financial impact estimates to support insurance and legal assessment.

Controls & Mitigation

Documented internal controls, monitoring procedures, incident response plans, recent remediation actions, timelines for outstanding remediation, and responsible owners to demonstrate risk governance and reduce insurer uncertainty.

Signatures

Signed declaration by authorized officers confirming accuracy, effective date, and consent to electronic execution where permitted; include notarization or witness details if required by jurisdiction.

Timelines and When to Produce the Copy

Key deadlines affect when a Business Exposure Copy must be produced for tax, regulatory, or transactional purposes; timeliness prevents penalties and supports underwriting.

Upon Counterparty or Insurer Request:

Provide copy promptly or within contractual timeframe.

Due Diligence for M&A or Financing:

Typically requested during LOI or definitive agreement phases.

Insurance Underwriting: submission deadlines and windows:

Submit loss runs and exposure schedules per underwriter timelines.

Regulatory Audit or Examination Response Time:

Respond within regulator-specified timeframes or as requested.

Contractual Notice and Cure Periods:

Observe notice periods in contracts before termination or claim.

Penalties and Risks of Incorrect or Incomplete Disclosure

Insurance Claim Denial: Insurers may deny coverage for material misstatements
Contractual Breach: Incorrect disclosures may trigger indemnities or termination
Regulatory Penalties: Failure to produce records can lead to fines
Tax Consequences: Mismatched financials can prompt IRS inquiries
Legal Liability: False statements risk fraud or misrepresentation claims
Operational Disruption: Delayed responses slow transactions and approvals

Common Preparation Pitfalls to Avoid

  • Combining outdated schedules with current ones, leading to inconsistent totals and confusion during review; always reconcile figures to a single reporting date.
  • Omitting supporting contract references or clause citations makes exposures hard to verify and increases back-and-forth with legal and underwriting teams.
  • Using vague language such as 'substantial' or 'undetermined' without quantification undermines usefulness and may be rejected by reviewers.
  • Failing to record signer authority or date formats can void electronic consent under ESIGN or require re-execution with notarization.

Who Can Sign and Certify the Document

Alex Morgan, CRO

Responsible for consolidating exposure schedules and certifying accuracy to boards and insurers; typically coordinates with legal, finance, and operations to validate figures, approves distribution lists, and attests to mitigation activities under penalty of corporate policy or regulatory requirement.

Samir Patel, GC
