WHEREAS, the parties desire to record the Proposer's good faith expression of interest and certain binding and non-binding terms governing further negotiation and confidentiality as set forth in this document.

Unless earlier terminated for material breach or by mutual written agreement, this Expression of Interest shall remain in effect for the period indicated above. Either party may terminate further negotiations upon the required notice. Termination shall not affect accrued payment obligations or survival of confidentiality, indemnity and governing law provisions.

CONFIDENTIALITY

For the purposes of this document, "Confidential Information" includes all non-public business, financial, technical and other proprietary information disclosed in connection with this Expression of Interest. Each party agrees to: (i) hold Confidential Information in strict confidence; (ii) use Confidential Information solely to evaluate and negotiate the proposed transaction; and (iii) limit disclosure to employees, advisors and representatives who have a need to know and are bound by confidentiality obligations no less protective than those contained herein.

Confidentiality obligations do not apply to information that is or becomes publicly available other than by breach of this document, was known to the receiving party prior to disclosure, or is required to be disclosed by law (provided the disclosing party is given prompt notice and the disclosure is limited to the extent legally permissible). Remedies for breach include injunctive relief and damages.

NON-BINDING NATURE

Unless otherwise expressly provided in a separate definitive written agreement signed by both parties, this Expression of Interest is a statement of present intent and is non-binding with respect to the consummation of any transaction. Notwithstanding the foregoing, the provisions relating to Confidentiality, Governing Law and any express binding provisions stated herein shall survive and be binding.

This Expression of Interest shall be governed by and construed in accordance with the laws of the jurisdiction of:
