BUSINESS EXTENSION LETTER

This Business Extension Letter ("Extension") is made effective as of and amends the Original Agreement specified below between the parties identified herein.

Recitals (WHEREAS)

WHEREAS, the parties entered into an original agreement titled dated (the "Original Agreement");

WHEREAS, the parties desire to extend certain obligations and the Term of the Original Agreement under the terms and conditions set forth in this Extension;

WHEREAS, all capitalized terms used but not defined in this Extension shall have the meanings ascribed in the Original Agreement unless otherwise provided herein.

Scope of Work

The parties agree that the Scope of Work under the Original Agreement is hereby extended to include the following services, deliverables, and performance obligations. The Contractor shall perform in a manner consistent with the standards described below and in the Original Agreement.

Payment Terms

In consideration for the extended services, Client agrees to the following payment terms:

Late payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, calculated from the due date until paid in full. The party owing late payments shall also reimburse reasonable collection costs, including attorneys' fees.

Term and Termination

The Term of the Original Agreement is extended as follows:

Either party may terminate this Extension for material breach of the Original Agreement or this Extension if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Termination of this Extension shall not relieve either party of obligations accrued prior to the effective date of termination.

Confidentiality

The parties acknowledge and agree that Confidential Information disclosed under the Original Agreement shall remain subject to the confidentiality obligations already in effect. Each party shall:

(a) hold Confidential Information in strict confidence and not disclose it to any third party except as permitted under the Original Agreement; (b) use Confidential Information solely to perform obligations under the Original Agreement and this Extension; and (c) take commercially reasonable measures to prevent unauthorized use or disclosure. Confidential Information does not include information that is or becomes publicly available other than through a breach of this Agreement or is independently developed without use of the other party's Confidential Information.

Governing Law

This Extension shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Exclusive venue for any dispute arising out of or relating to this Extension shall be in the state or federal courts located in that state, and the parties submit to personal jurisdiction therein.

Entire Agreement and Miscellaneous

This Extension, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating thereto. Except as expressly amended by this Extension, all terms and conditions of the Original Agreement remain in full force and effect.

No amendment, modification, or waiver of any provision of this Extension shall be effective unless in writing and signed by authorized representatives of both parties. If any provision of this Extension is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
