All changes to the Scope of Work shall be authorized by a written Change Order signed by both parties. Contractor shall not be required to perform work for which there is no written Change Order.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after receipt of written notice. CONFIDENTIALITY

Each party shall treat as confidential and shall not disclose to third parties any non-public business information of the other party obtained in connection with this Agreement, except as required by law, to enforce rights under this Agreement, or to perform the obligations hereunder. Confidential information does not include information that is or becomes generally known through no wrongful act of the receiving party.

WARRANTIES; INSPECTION

Contractor warrants that materials supplied shall be new and that workmanship shall be free from substantial defects for a period of months from Substantial Completion, unless a longer manufacturer warranty applies. This warranty does not cover damage caused by abuse, neglect, acts of God, unauthorized alterations, or normal wear and tear.

Client shall inspect completed work within days and shall provide written notice of any claimed defects.

INSURANCE, LICENSES AND COMPLIANCE

Contractor represents and warrants that it holds all necessary licenses and permits required to perform the Work and shall maintain, at its expense, commercial general liability insurance, workers' compensation insurance and automobile liability insurance in commercially reasonable limits. Contractor shall provide certificates of insurance upon request.

INDEMNIFICATION AND LIMITATION OF LIABILITY

To the fullest extent permitted by law, Contractor shall indemnify, defend and hold harmless Client from and against claims, damages, losses and expenses arising out of Contractor's performance of the Work, to the extent caused by Contractor's negligent acts or omissions. Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, punitive, or special damages. The aggregate liability of either party for claims arising under this Agreement shall not exceed the Total Proposal Price.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any Attachments and Change Orders executed in writing by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
