What the Business FAC Form Is and when it’s used

The Business FAC Form is a standardized administrative document used by U.S. businesses to record corporate account control, authorization, and contact details required for banking, vendor onboarding, and certain regulatory processes. It typically captures the entity legal name, Employer Identification Number (EIN), authorized signatories, account identifiers, attestations of authority, and requested supporting documents. Organizations use the form to establish account permissions, authorize payments, and document corporate resolutions. Depending on the recipient and jurisdictional rules, the form may also include notarization or witness lines and attachments such as corporate minutes or tax documents.

Why a clear Business FAC Form matters for compliance and operations

A complete Business FAC Form reduces onboarding friction, clarifies signatory authority, and supports legal enforceability when executed correctly. Using standardized attestations and accurate identifiers helps prevent payment delays, incorrect tax reporting, and administrative disputes under ESIGN and state electronic transaction laws.

Common mistakes to avoid when preparing the Business FAC Form

  • Incomplete or inconsistent legal names or EINs commonly cause bank verification failures and may trigger backup withholding or account opening delays.
  • Missing or unsigned attestations leave authority unclear; recipients often reject forms without explicit corporate resolutions or evidence of signer authority.
  • Using initials, low-resolution scanned signatures, or unsigned digital overlays can complicate acceptance where notarization or stronger authentication is requested.
  • Failure to attach required supporting documents—Articles of Incorporation, W-9, ID copies—can extend onboarding by days or result in outright rejection.

Principal penalties and legal risks from incorrect forms

Backup Withholding: IRS rate 24% if TIN missing.
Account Freezing: Bank may freeze accounts.
Contract Delays: Payments withheld pending verification.
Regulatory Fines: State or federal penalties possible.
Notarization Invalidity: Improper notarization can void form.
Fraud Exposure: False attestations risk criminal liability.
