RECITALS

WHEREAS, Client Name: desires to engage Contractor to perform services described herein; and

WHEREAS, Contractor Name: represents that it has the experience, skill and resources to perform such services; and

WHEREAS, the parties wish to set forth the terms and conditions under which Contractor will perform services for Client, effective as of Effective Date: (the "Effective Date").

SCOPE OF WORK

Contractor shall perform the services described below in a professional manner consistent with industry standards. Contractor will supply all labor, materials, equipment and supervision necessary to complete the work unless otherwise agreed in writing.

PAYMENT TERMS

Client shall pay Contractor the total fee specified below for performance of the Scope of Work. Fees are exclusive of applicable taxes unless otherwise stated.

Invoices are payable within days of invoice date. Late payments shall incur a late fee of per month on the outstanding balance, or a flat late fee of , whichever is greater.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and continue until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause by providing written notice at least days prior to the intended termination date. Either party may terminate for cause upon material breach by the other party if such breach is not cured within days after written notice of the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and not disclose to any third party any non-public information disclosed by the other party (the "Disclosing Party") marked or identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that: (a) was rightfully in the Receiving Party's possession without restriction prior to disclosure; (b) is or becomes public through no breach by the Receiving Party; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's confidential information.

The Receiving Party may disclose Confidential Information to its employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those set forth herein. Upon termination or written request, the Receiving Party shall return or destroy the Disclosing Party's confidential information and certify destruction upon request.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. Any dispute arising under this Agreement shall be resolved in the courts located in that State, unless the parties agree in writing to alternative dispute resolution.

This Agreement, including all attachments and exhibits, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Independent Contractor: Contractor is an independent contractor and not an employee, partner or agent of Client. Contractor shall be solely responsible for all taxes and benefits relating to its personnel.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising from the indemnifying party's gross negligence or willful misconduct in connection with this Agreement.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party shall be liable for consequential, incidental, indirect or punitive damages. The aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the total amounts paid by Client to Contractor under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

Execution: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Delivery of a signed counterpart by fax transmission or other electronic means shall be effective as delivery of an original.
