What the Business FDP Template Is

The Business FDP Template is a standardized Financial Disclosure Package template used by companies preparing transactional disclosures, investor due diligence, lender submissions, or internal audit deliverables. It bundles an executive summary, financial statements, supporting schedules, material disclosures, and signature blocks into a reproducible format that can be adapted for mergers, financing, or periodic reporting. The template is designed for clarity and traceability: it separates verified financial line items from commentary, flags confidential exhibits, and includes fields for reviewer signoffs and version history to support compliance and record retention.

Why this Template Helps Your Business

A structured FDP template reduces preparation time, enforces consistent disclosure practices, and helps ensure reviewers see the same validated data and caveats across stakeholders.

Why this Template Helps Your Business

Typical Users and Stakeholders

Each stakeholder uses the template differently; adjust fields and access controls to match reviewer responsibilities and confidentiality needs.

  • Corporate finance teams preparing transaction packets for lenders or investors, focusing on completeness and consistency.
  • External accountants or auditors validating schedules and cross-referencing source documents during due diligence.
  • Legal counsel and compliance officers reviewing disclosures, carve-outs, and representations for contract accuracy.

Core Sections to Include in a Professional FDP

A robust FDP contains consistent sections to make review straightforward and auditable across transactions and internal cycles.

Executive Summary

One-page synopsis of purpose, transaction context, key financial metrics, and any material assumptions or exceptions that reviewers should note before examining schedules.

Financial Statements

Formatted balance sheet, income statement, and cash flow statements with clear period labels, accounting basis, and any reclassifications or adjustments explained.

Supporting Schedules

Detailed rollforwards, account reconciliations, aging analyses, and subsidiary schedules that substantiate headline numbers and permit line-by-line verification.

Risk Disclosures

Material contingencies, related-party transactions, pending litigation, and other facts that could affect value or representational accuracy for a third party.

Compliance Certificates

Signed attestations, tax status confirmations, and any sector-specific declarations required by regulators, lenders, or grantors to accompany the data.

Signature & Acknowledgment

Designated signer blocks with printed names, titles, dates, and capacity statements to record authority and create an auditable chain of custody.

  • 03
