Teams and Roles That Commonly Complete the Business FDS Form

The Business FDS Form is used by procurement, compliance, legal, and finance teams to gather standardized financial disclosures from counterparties.

  • Procurement officers: verify vendor financial stability and adherence to contracted financial terms during sourcing.
  • Compliance teams: assess conflicts of interest, beneficial ownership, and regulatory disclosure obligations for risk reviews.
  • Finance and auditors: reconcile disclosed figures to submitted financial statements for audit trails and reporting.

Organizations using the form should define internal review workflows, assign reviewers, and schedule periodic re-certification to keep disclosures current.

Common Preparation Pitfalls to Avoid

  • Incomplete attachments often cause the longest processing delays — reviewers need source financials and signed certifications to verify reported totals, so attach full schedules and reconciliations.
  • Mismatched legal entity names between this form and tax records trigger manual identity verification and can delay payments or require resubmission.
  • Using inconsistent accounting bases (cash vs GAAP) without clear disclosure makes year-over-year comparisons unreliable and complicates audits.
  • Failing to obtain an authorized signature or using initials only often invalidates the form; require full name, title, and date.

Consequences of Incorrect or Incomplete Disclosures

Contract Risk: Termination, indemnity claims
Regulatory Fines: Civil penalties possible
Tax Exposure: IRS adjustments, penalties
Criminal Liability: Fraud prosecution risk
Reputational Harm: Loss of vendors/customers
Operational Delay: Processing and audit holds
