BUSINESS FEATURED PACKAGE AGREEMENT

This Business Featured Package Agreement (the Agreement) is entered into as of (Effective Date) by and between:

RECITALS

WHEREAS, Service Provider is in the business of promoting and featuring businesses through curated editorial, digital placement, and promotional distribution (the Featured Services); and

WHEREAS, Client desires to procure from Service Provider a Business Featured Package containing the specific components described in this Agreement and Service Provider desires to provide such services on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

SCOPE OF WORK

Service Provider shall deliver the Business Featured Package including the deliverables and services described below. The scope may include editorial feature, homepage placement, social media promotion, email distribution, and reporting as agreed.

PAYMENT TERMS

Client shall pay Service Provider the total fee set forth below in accordance with the payment schedule. Fees do not include sales, use, value-added, or other transaction taxes; Client is responsible for all such taxes unless a valid exemption is provided.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination by Service Provider for nonpayment shall be effective upon seven (7) days' written notice following failure to cure.

Upon termination, Client shall pay for all services performed and reimbursable expenses incurred through the effective date of termination. If Client terminates without cause prior to completion of agreed deliverables, a pro rata fee and any reasonable out-of-pocket costs shall be due.

CONFIDENTIALITY

Each party (Recipient) shall keep confidential and not disclose to any third party Confidential Information of the other party (Discloser). "Confidential Information" means non-public business, technical, financial, and marketing information disclosed in connection with this Agreement, but excludes information that: (a) was known to Recipient without restriction prior to disclosure; (b) becomes publicly available other than by breach of this Agreement; (c) is rightfully received from a third party without confidentiality obligations; or (d) is independently developed by Recipient.

Recipient may disclose Confidential Information to its employees, contractors, or advisors on a need-to-know basis provided such persons are bound by confidentiality obligations at least as protective as those herein. The obligations in this Section survive termination of this Agreement for years.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Client retains ownership of Client-provided materials, and Service Provider retains ownership of pre-existing or independently created materials and methodologies. Upon full payment, Service Provider grants Client a non-exclusive, non-transferable license to use deliverables solely for the purposes described in this Agreement. Any third-party materials incorporated into deliverables remain subject to their original licensing terms.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. SERVICE PROVIDER'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT FOR THE FEATURED PACKAGE.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to principles of conflicts of law.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, and negotiations. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notice is effective upon personal delivery, confirmed email delivery, or three (3) days after deposit in certified mail, return receipt requested.

SIGNING AUTHORITY

Each person executing this Agreement represents and warrants that they are duly authorized to execute and deliver this Agreement on behalf of the party for whom they sign and that this Agreement is binding upon such party in accordance with its terms.
