This Business File Document (the "Agreement") is entered into as of Effective Date: by and between:

WHEREAS, Party B desires to retain and engage Party A to perform the services set forth in this Agreement, and Party A is willing to perform such services under the terms and conditions contained in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

SCOPE OF WORK

Party A shall perform the services and deliverables described below. The scope may be revised only by written amendment executed by authorized representatives of both parties.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, Party B shall pay Party A as follows:

Any payment not received within the period set forth above shall accrue interest at the lesser of: % per month, or the maximum rate allowed by applicable law. Party B shall be responsible for all collection costs, including reasonable attorney fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that during performance it may obtain confidential or proprietary information of the other party ("Confidential Information"). Confidential Information shall not include information that (i) is or becomes publicly known through no breach of this Agreement, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed without use of the other party's Confidential Information.

The obligations of confidentiality shall survive termination of this Agreement for a period of from the date of disclosure, unless a longer period is required by law.

The undersigned acknowledge and agree to comply with the Confidentiality obligations set forth above.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the substantive laws of the State of , without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

ADDITIONAL PROVISIONS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's negligence, willful misconduct, or breach of its representations, warranties or covenants under this Agreement.

Limitation of Liability: Except for liability arising from willful misconduct, fraud, or a party's breach of its confidentiality obligations, neither party shall be liable for indirect, incidental, special, or consequential damages. The aggregate liability of either party arising out of or related to this Agreement shall not exceed the total amounts paid or payable by Party B to Party A under this Agreement during the twelve (12) months preceding the claim.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.
