BUSINESS FILE OUTPUT AGREEMENT

WHEREAS

WHEREAS, Client Name: (the "Client") desires to obtain electronic and/or physical file outputs and associated deliverables from Service Provider Name: (the "Provider") in accordance with the terms set forth in this Agreement.

WHEREAS, the parties intend that the Provider will prepare, compile, format and deliver business files, data exports, reports and associated documentation (collectively, "Files") specified in the Scope of Work below, and that the Client will pay the fees described in this Agreement.

NOW, THEREFORE, effective as of Effective Date: , in consideration of the mutual covenants set forth herein, the parties agree as follows.

Scope of Work

Provider will perform the services and produce the Files in accordance with the descriptions, deliverables and acceptance criteria set forth below. The Scope of Work may include data extraction, formatting, quality review, metadata mapping, and file packaging as required by the Client.

Payment Terms

Client shall pay Provider the fees described below in consideration for the performance of the Scope of Work. All fees are exclusive of applicable taxes, unless otherwise stated.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated as provided herein.

Confidentiality

Each party agrees that all non-public information disclosed by the other party in connection with this Agreement and identified as confidential or that reasonably should be understood to be confidential ("Confidential Information") shall be held in strict confidence and used only for the performance of this Agreement. Confidential Information shall not include information that is or becomes publicly known through no breach of this Agreement, is independently developed without use of the other party’s Confidential Information, or is rightfully obtained from a third party without restriction.

Ownership and Use of Files

Unless otherwise agreed in writing, Provider grants to Client a nonexclusive, perpetual, worldwide license to use the delivered Files for Client's internal business purposes following full payment of amounts due. Provider represents that it has all rights necessary to deliver the Files and that delivery will not infringe third-party rights.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of State: , without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

Entire Agreement

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. No amendment or modification will be effective unless in writing and signed by authorized representatives of both parties.

Each party represents that it has the authority to enter into this Agreement. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all assets or equity.
