"Confidential Information" means non-public information disclosed by one party to the other, in any form, that is identified as confidential or that reasonably should be understood to be confidential. Each party shall (i) hold Confidential Information in strict confidence, (ii) not disclose it to third parties except as expressly permitted by this Agreement or required by law, and (iii) use it solely to perform obligations under this Agreement. The obligations in this paragraph shall continue for a period of years from the date of disclosure.

Governing Law & Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

This Agreement, together with any attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No modification, waiver, or amendment shall be binding unless made in writing and signed by authorized representatives of both parties.
