What a Business Filing Engagement Is and when it applies

A Business Filing Engagement is a written agreement that sets out the scope, responsibilities, and deliverables when a business hires a third party to prepare, file, or manage legal filings related to formation, registration, annual reports, or regulatory compliance. Typical engagements define which forms will be filed, who provides supporting documents, fee and payment terms, timelines, and document retention. Electronic execution and eSubmission are generally valid under the ESIGN Act (15 U.S.C. ch. 96) and UETA where adopted; parties should confirm state-specific notary or witness rules before relying solely on electronic processes.

Why a formal engagement matters for filing accuracy and accountability

A Business Filing Engagement clarifies responsibilities, timelines, and costs for filings, reducing the risk of missed deadlines and compliance errors. It provides an auditable record of instructions and approvals and supports remote execution and secure eSubmission under applicable electronic signature laws.

Why a formal engagement matters for filing accuracy and accountability

Who typically completes and signs these engagements

Typical users include business owners, registered agents, and legal or accounting professionals responsible for corporate filings and compliance.

  • Business owners and founders who need entity formation, registration, or annual report filing support.
  • Registered agents and filing services acting on behalf of multiple clients with standardized processes.
  • Attorneys, CPAs, and paralegals overseeing compliance, document accuracy, and state-specific requirements.

Engagements help parties allocate duties and create a single reference for future amendments, audits, and regulatory reviews.

Essential elements to include in a professional engagement

Core components of a Business Filing Engagement clarify obligations, timelines, deliverables, fees, authorization, and methods for execution and submission, including electronic methods.

Scope of Work

List specific filings (formation, DBA, annual report, tax registrations) and tasks (document preparation, review, filing, follow-up). Specify which party supplies supporting materials and who is authorized to sign or approve submissions.

Fees & Payment

Itemize fixed fees, hourly rates, government filing fees, notary or RON costs, and payment schedule. State responsibility for additional fees arising from corrections, expedited services, or rejected filings.

Timelines

Specify target dates for document preparation, signer execution, submission to agencies, and expected processing windows. Include contingencies for agency delays and required responses to government requests.

Authorization & Signers

Identify authorized signatories by title or corporate resolution, whether a registered agent may sign, and any required notarizations or witness acknowledgements per state law or company bylaws.

Deliverables & Records

State what records will be returned to the client (filed copies, confirmations, certificates), how electronic copies are stored, and procedures for long-term retention and record requests.

Termination & Amendments

Define termination rights, notice requirements, and how to amend the engagement. Include fee treatment for partially completed work and steps for transferring documents on termination.

Required information to collect and verify

Business Name: Exact legal entity name as recorded
EIN / Tax ID: Enter EIN as nine digits (no dashes)
Registered Agent: Provide registered agent name and business address
Authorized Signer: Provide signer full name, title, and corporate authority
Filing Type: Specify filing type and target state jurisdiction
Supporting Docs: Attach formation documents, resolutions, and required attachments

Step-by-step: completing a Business Filing Engagement

Follow these steps to complete and submit a Business Filing Engagement accurately and on schedule.

  • 01
Gather Information: Collect entity details, IDs, and supporting documents.
  • 02
Draft Engagement: Describe scope, fees, timelines, and deliverables.
  • 03
Obtain Signatures: Execute signatures, notarize if required, record dates.
  • 04
File with Agency: Submit to state or federal agency and retain filings.

Configuring an online workflow for filings and signatures

Configure an online workflow to assemble, route, and capture signatures for filing engagements using templates and conditional fields.

Field Configuration
Template Use template with pre-filled variables and clauses
Conditional Fields Show fields based on entity type or state law
Signer Authentication Email, SMS code, or KBA per risk level
Audit Trail Capture IP, timestamps, and version history
Storage & Export Save signed PDF/A and raw DOCX for records

How routing and submission typically work

Typical routing shows who sends, who signs, how authentication occurs, and where filings are submitted.

  • Upload Document: Sender uploads engagement and attachments to the platform.
  • Place Fields: Add signature, date, and conditional fields for each signer.
  • Authenticate Signers: Choose email, SMS, or stronger authentication for high-risk filings.
  • Submit & Record: E-file or download signed package for manual filing and storage.

Technical and security features to require from your platform

Choose a platform supporting PDF, DOCX, eSign, and integration with filing systems for audit trail and secure storage.

  • Formats Supported: PDF, DOCX, and HTML file types
  • Integrations: Salesforce, NetSuite, Google Workspace integrations
  • Security: AES-256 at rest; TLS 1.2/1.3 in transit

Common filing timeframes and scheduling considerations

Key filing deadlines and timeframes vary by form, agency, and state. Confirm deadlines before final submission.

Entity Formation:

State processing 3–10 business days; expediting varies

Annual Reports:

Due by state deadline; late filings may incur fees and penalties

Tax Registrations:

Allow two to six weeks for federal and state registrations

Notarization/RON:

Some states require in-person notary or RON; rules vary widely

Agency Responses:

Allow 30 to 90 days for agency review or requests

Common pitfalls to avoid when preparing filings

  • Submitting forms with mismatched business names or incorrect EINs, which can trigger rejections, delays, or backup withholding requirements from the IRS.
  • Failing to specify authorized signers or corporate resolution authority, resulting in filings that state agencies may refuse or require corrective affidavits.
  • Neglecting state-specific notarization or witness requirements before electronic submission, especially for deeds, powers of attorney, or certain corporate documents.
  • Relying on generic templates without updating jurisdictional clauses, filing addresses, or fee estimates, leading to incorrect filings and avoidable rework.

Legal and fiscal risks of incorrect or late filings

Late Filing Penalty: State fines and IRC §6721 penalties
Tax Withholding: Backup withholding at 24% for missing TIN
I-9 Violations: Civil fines $281–$2,789 per violation
Document Rejection: Agency rejects or returns for correction
Professional Liability: Errors can trigger malpractice or indemnity claims
Operational Delay: Business operations or funding may be postponed

Representative use cases from organizations handling filings

Real-world examples show how filing engagements reduce turnaround, support remote closings, and improve document control across industries.

Optica Ventures — Brian Fitzgibbons

Optica Ventures used an online engagement to streamline filings for multiple portfolio companies, reducing turnaround and simplifying customer interactions.

  • Reduced manual follow-up and in-person signatures.
  • The COO reported the interface is easy for the team and customers; the firm now retains signed filings electronically for audit purposes, eliminated courier expenses, and shortened closing cycles by several days per transaction.

Martin Properties — Tim Martin

Martin Properties executed lease filings and entity registrations remotely to close deals without in-person meetings.

  • Enabled remote closings on mobile and offline.
  • The founder emphasized achieving compliance and secure recordkeeping while allowing agents to sign on mobile or offline; this reduced time to lease execution and improved client responsiveness across multiple listings.
