BUSINESS FINAL FORM

This Business Final Form (the "Agreement") is entered into effective as of Effective Date: by and between First Party Name: and Second Party Name: .

RECITALS

WHEREAS, First Party is engaged in the business of providing goods and/or services as described herein and possesses the necessary personnel, experience, and capability to perform the services contemplated by this Agreement; and

WHEREAS, Second Party desires to engage First Party to perform the services set forth in this Agreement, and First Party agrees to provide such services under the terms and conditions contained herein; and

WHEREAS, the parties wish to set forth the complete agreement regarding scope, payment, confidentiality, and other material terms in a final written instrument.

SCOPE OF WORK

First Party shall perform the services and deliverables described below in a professional and workmanlike manner in accordance with industry standards. The scope below is binding unless amended in writing and signed by both parties.

PAYMENT TERMS

In consideration for the services rendered, Second Party shall pay First Party in accordance with the terms below. All payments shall be made in United States dollars unless otherwise agreed in writing.

Overdue amounts shall accrue interest at a rate of % per month (or the maximum rate permitted by applicable law, if less), plus reasonable collection costs and attorney fees.

TERM AND TERMINATION

Term: This Agreement shall commence on Commencement Date: and shall continue until Termination Date: unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to the effective termination date.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means all non-public information disclosed by a party (the "Disclosing Party") to the other party (the "Receiving Party") that is designated as confidential or that, by its nature, should reasonably be understood to be confidential.

Obligations: The Receiving Party shall (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted herein; and (c) use Confidential Information solely to perform under this Agreement. The Receiving Party shall take reasonable measures to protect Confidential Information, at least as protective as those it uses to protect its own confidential information.

Exclusions and Compelled Disclosure: Confidential Information does not include information that is (i) in the public domain through no fault of the Receiving Party, (ii) lawfully received from a third party without restriction, or (iii) independently developed without use of Confidential Information. If the Receiving Party is compelled by law to disclose Confidential Information, it shall provide prompt notice to the Disclosing Party and cooperate to obtain confidential treatment.

Survival: Confidentiality obligations shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall be protected for as long as they remain trade secrets under applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict-of-law principles.

Dispute Resolution: The parties shall first attempt in good faith to resolve any dispute arising out of or relating to this Agreement by negotiation. If the dispute is not resolved by negotiation within thirty (30) days, the parties may pursue any remedies available at law or in equity.

ENTIRE AGREEMENT; MISCELLANEOUS

Entire Agreement: This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral.

Assignment and Successors: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets provided the assignee assumes the assigning party's obligations in writing.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or commercial overnight courier, and shall be effective upon receipt.

ADDITIONAL TERMS

Relationship of Parties: The parties are independent contractors and nothing in this Agreement shall create an employer-employee, partnership, joint venture, or agency relationship between them.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct.
