Business Final Packet

This General Business Agreement (the Agreement) is entered into as of Effective Date: by and between the undersigned parties.

Parties

RECITALS

WHEREAS, Service Provider is engaged in the business of providing professional services and expertise in connection with the project described below; and

WHEREAS, Client desires to retain Service Provider to perform the services and deliver the deliverables set forth in this Agreement and Service Provider is willing to perform such services under the terms and conditions set forth herein.

WHEREAS, the parties intend that this Agreement set forth the full understanding between them with respect to the subject matter hereof.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Service Provider the total contract sum of (the Fee) in accordance with the schedule below.

All invoices issued by Service Provider are payable within days of invoice date. Late payments shall bear interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by law, and Client shall be responsible for reasonable collection costs and attorneys' fees incurred by Service Provider to collect overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate immediately for cause upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days following written notice specifying the breach.

CONFIDENTIALITY

Each party (the Receiving Party) shall hold in confidence and not disclose to any third party any proprietary or confidential information disclosed by the other party (the Disclosing Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that is (a) in the public domain through no fault of the Receiving Party, (b) independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information, or (c) rightfully obtained from a third party without breach of an obligation of confidentiality.

The Receiving Party shall use Confidential Information only for the purposes of performing under this Agreement, shall restrict access to Confidential Information to those employees, agents, or contractors with a need to know, and shall return or destroy Confidential Information upon termination of this Agreement or upon written request.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall first attempt in good faith to resolve any dispute arising under this Agreement through negotiation between senior representatives. If the dispute is not resolved within thirty (30) days of initiation of negotiation, the parties may pursue any remedies available at law or in equity.

MISCELLANEOUS

Entire Agreement: This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of this Agreement.

Amendment: No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign this Agreement in connection with a merger, sale of substantially all its assets, or corporate reorganization.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement.
