What the Business Finder Agreement Is and when it applies

A Business Finder Agreement is a written contract between a company (the principal) and an intermediary (the finder) who identifies potential buyers, sellers, investors, partners, or opportunities. The agreement defines the finder’s scope of services, geographic or industry limits, fee structure and timing, payment triggers, term and termination, confidentiality obligations, and any exclusivity. It also allocates responsibility for expenses, sets dispute-resolution and governing-law clauses, and specifies who may sign on behalf of each party. Well-drafted agreements reduce disputes over entitlement to fees and clarify deliverables throughout the engagement.

Why a clear Business Finder Agreement matters

A precise written agreement protects both parties by documenting the finder’s role and compensation triggers, reducing ambiguity that can cause fee disputes. It supports enforceability under contract law and helps ensure compliance with state broker or referral rules, tax reporting, and confidentiality obligations.

Why a clear Business Finder Agreement matters

Who commonly uses a Business Finder Agreement

The agreement is used by organizations and individuals who engage third parties to identify business opportunities or counterparties.

  • Startups and small businesses seeking introductions to investors, partners, or distributors without hiring a full-time salesperson.
  • Private equity firms and acquirers contracting independent finders to source acquisition targets or sellers.
  • Professional intermediaries and consultants who provide lead generation or referral services across industries.

Parties should confirm any industry-specific licensing or disclosure rules before engaging a finder to avoid regulatory issues.

Core components to include in a professional agreement

A comprehensive Business Finder Agreement sets clear expectations by covering essential legal and commercial terms so both parties understand deliverables, compensation mechanics, and legal protections.

Scope of Services

Describe specific activities the finder will perform, geographic or industry limits, and any excluded services such as negotiating or closing transactions.

Fee Structure

State precise compensation (flat fee, percentage, success fee), when it is earned, payable timing, whether gross or net of expenses, and treatment of partial transactions.

Payment Triggers

Identify events that trigger payment (signed LOI, definitive agreement, closing) and treatment of contingent or staged deals.

Term and Termination

Set the initial term, renewal rules, and termination rights including survivability of compensation and confidentiality clauses after termination.

Confidentiality

Include non-disclosure provisions that cover introductions, deal terms, and any sensitive information exchanged during the engagement.

Governing Law and Dispute Resolution

Specify the governing state law, venue, and dispute process (mediation, arbitration, or court) to limit uncertainty and litigation cost.

Step-by-step: completing and executing the agreement

Follow these sequential steps to prepare the agreement, confirm authority, and complete signing so the finder’s compensation rights are enforceable.

  • 01
Drafting: Prepare the agreement with clear scope, fee triggers, and term language.
  • 02
Internal Review: Have legal or finance review payment terms and tax reporting implications.
  • 03
Signatory Verification: Confirm each signer’s authority to bind their organization before signing.
  • 04
Execution: Collect signatures and maintain a signed copy with audit trail and execution dates.

How to set up an online workflow for execution

Configure fields and signer order before sending the agreement for electronic signature to ensure a smooth e-execution process.

Field Configuration
Signature Blocks Place signature, printed name, title, and date fields for each party.
Initials Add initial fields on key pages if parties must initial changes or specific sections.
Conditional Clauses Use conditional fields for optional fee types or exclusive vs non-exclusive selections.
Order Set signer sequence to collect the principal’s signature after the finder or as required.

Digital signing and technical considerations

Confirm the chosen eSignature platform supports required authentication, audit trails, and document export formats before sending.

  • Authentication: Email link plus optional SMS or KBA for stronger signer identity.
  • Audit Trail: Record timestamps, IPs, and action history for enforceability.
  • Formats: Export signed PDFs that embed the audit certificate and remain tamper-evident.

For regulated workflows (healthcare, finance), ensure the vendor supports HIPAA or industry-specific controls and provides a Business Associate Agreement where required.

Where to send, file, and distribute executed agreements

A consistent routing and storage process preserves chain-of-custody and ensures access for finance, legal, and audit purposes.

  • Origin: Sender uploads the finalized agreement to the signing platform and assigns signer roles.
  • Signing: Signers receive an email or link to authenticate and sign in the prescribed order.
  • Distribution: Automatically send executed copies to finance, legal, and both parties after completion.
  • Storage: Store final PDF with audit trail in secure corporate document repository.

Typical timing considerations and deadlines

Track key dates to protect fee rights and meet tax or regulatory deadlines associated with the engagement.

Effective Date:

The date the agreement begins; many fee-entitlement periods run from this date.

Introduction Period:

Define how long a finder is entitled to fees for introductions after termination.

Payment Timing:

Specify when fees are due after a triggering event, e.g., within 30 days of closing.

Tax Reporting:

Payers should collect W-9 data promptly for 1099 reporting when applicable.

Record Retention:

Retain signed agreements per applicable retention schedules outlined below.

Key milestones from engagement to fee payment

A linear milestone view clarifies when obligations start, when introductions qualify, and when fees become payable.

01

Engagement Start

Agreement executed and the finder begins sourcing targets.

02

Qualified Introduction

Finder delivers contact details that meet agreed qualification criteria.

03

Transaction Trigger

LOI or definitive agreement is signed, triggering fee calculation.

04

Fee Payment

Fee paid within the contractually specified timeframe after closing.

Common preparation mistakes to avoid

  • Vague fee language that fails to define the denominator for percentage calculations often leads to disputes over the true payable amount.
  • Unclear qualification criteria for an introduction (e.g., contact vs. closed transaction) can create overlapping claims by multiple finders.
  • Failing to document signatory authority or relying on unsigned email approvals risks unenforceability or later denial of authority.
  • Omitting tax information such as a completed W-9 for U.S. payees can delay payments and trigger backup withholding obligations.

Potential risks and consequences of errors

Fee Forfeiture: Lost entitlement if triggers are not contractually met.
Tax Penalties: Backup withholding and reporting fines for missing TINs.
Contract Disputes: Litigation costs from ambiguous terms.
Breach of Law: State broker/referral law violations may carry fines.
Confidentiality Breach: Exposure to damages for unauthorized disclosure.
Invalid Signatures: Nonbinding agreements if signer lacks authority.

Real-world examples of finder agreements in use

Two concise examples show how parties structure fees and obligations in different scenarios.

Venture Capital Introduction

A startup engaged a finder to introduce seed investors and paid a 2.5% fee on funds closed

  • Finder supplied investor contact and qualification details
  • The agreement required payment on funding close, survival of fee rights for six months post-termination, and a W-9 for tax reporting.

Acquisition Lead

A buyer hired an independent intermediary to source small-company acquisition targets for a fixed success fee

  • Finder provided NDAs and target lists
  • The contract defined exact payment upon signing a definitive purchase agreement and required confidentiality and non-circumvention protections.
