This Business FLT Agreement ("Agreement") is entered into as of by and between:

Parties

The parties may be referred to individually as "Party" and collectively as "Parties."

Recitals

WHEREAS, Client requires specialized business FLT services consisting of logistics planning, freight scheduling, transportation oversight and related operational support; and

WHEREAS, Service Provider represents that it has the experience, personnel, equipment and licenses necessary to perform the services described in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:

Scope of Work

Service Provider agrees to perform the services described above in a professional and workmanlike manner, consistent with industry standards. Any material change to the scope shall be documented and executed as a written amendment signed by both Parties.

Payment Terms

Example schedule: Deposit of due upon execution; remaining balance invoiced and due within days of invoice receipt.

Unpaid amounts shall accrue a late fee of per month (or the maximum lawful rate if less). Client shall also reimburse Service Provider for reasonable collection costs, including attorneys' fees.

Term and Termination

This Agreement commences on and expires on unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for convenience upon days' prior written notice to the other Party. Either Party may terminate immediately for material breach if such breach remains uncured for a period of thirty (30) days after written notice.

Upon termination, Service Provider shall deliver all work-in-progress and Client shall pay for all services performed and expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one Party to the other that is designated as confidential or which reasonably should be understood to be confidential given its nature. Confidential Information excludes information that is (a) publicly known through no breach of this Agreement, (b) known by the receiving Party prior to disclosure without confidentiality obligation, or (c) rightfully received from a third party without restriction.

The receiving Party shall (i) maintain the confidentiality of Confidential Information using at least the same degree of care it uses to protect its own similar information, (ii) use Confidential Information only to perform obligations under this Agreement, and (iii) not disclose Confidential Information to third parties except to employees, contractors or advisors who need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential obligations shall survive termination for a period of years.

Representations; Insurance; Indemnity

Each Party represents that it has the full right and authority to enter into this Agreement. Service Provider shall maintain commercially reasonable liability and, if applicable, cargo/transportation insurance during the Term. Service Provider agrees to indemnify and hold harmless Client from and against third-party claims arising from Service Provider's negligent acts or omissions in performing the services, except to the extent caused by Client's gross negligence or willful misconduct.

Limitation of Liability

Except for liability arising from willful misconduct, gross negligence, breach of confidentiality, or indemnification obligations, neither Party shall be liable for incidental, consequential, punitive or special damages. The aggregate liability of either Party for direct damages under this Agreement shall not exceed the total amount paid or payable to Service Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties shall attempt in good faith to resolve disputes promptly by negotiation. If unresolved, disputes shall be resolved by binding arbitration conducted in the county where the Client's principal place of business is located, before a single arbitrator, pursuant to the arbitration rules selected by the Parties.

Entire Agreement; Amendments

This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment shall be effective unless in writing and signed by both Parties.

Miscellaneous Provisions

Assignment: Neither Party may assign this Agreement without the prior written consent of the other, except that either Party may assign to an affiliate or in connection with a merger or sale of substantially all assets.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a Party designates by notice.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
