WHEREAS

1. WHEREAS, Provider is engaged in the business of providing goods and/or services and has the capacity and competency to perform the Scope of Work described herein;

2. WHEREAS, Recipient requires certain goods and/or services and desires that Provider supply such goods and/or services on the terms and conditions set forth in this Agreement;

3. WHEREAS, the parties intend that certain performance be provided free of charge to the Recipient under specified conditions (commonly referred to as "FOC") as described in this Agreement, subject to the Payment Terms below.

SCOPE OF WORK

Provider shall perform the services and/or supply the goods described below. The parties agree that the Scope of Work shall control the specifications, deliverables, milestones and acceptance criteria.

PAYMENT TERMS

The parties acknowledge that certain items may be provided free of charge. Where amounts are applicable, the following Payment Terms shall apply:

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Termination shall be without prejudice to any right or remedy available at law or in equity.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is marked confidential or that reasonably should be understood to be confidential. Each party shall:

(a) use Confidential Information solely for the purposes of performing obligations under this Agreement; (b) restrict disclosure of Confidential Information to its employees, agents and contractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

The obligations in this section shall not apply to information that (i) is or becomes publicly known through no act or omission of the receiving party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (iv) is required to be disclosed by law, provided the receiving party gives prompt notice to the disclosing party to allow opportunity to seek protective relief.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, including any exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment or modification must be in writing, signed by authorized representatives of both parties.
