THIS GENERAL BUSINESS AGREEMENT (the "Agreement") is made and entered into as of by and between:

WHEREAS

WHEREAS, Company is engaged in the business of operating and managing commercial initiatives and requires certain services described herein; and

WHEREAS, Provider represents that it has the experience, personnel, and capability to perform the services set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions by which Provider will perform services for Company and Company will compensate Provider.

SCOPE OF WORK

Provider shall perform the services and deliverables described below in a professional and workmanlike manner in accordance with accepted industry standards. Provider shall furnish all labor, materials, equipment and supervision necessary for completion unless otherwise specified.

PAYMENT TERMS

In consideration of Provider's performance, Company shall pay Provider as follows:

Provider shall submit invoices in accordance with the payment schedule. Unless otherwise stated, payments are due within days of receipt of a proper invoice. Company may withhold payment for amounts disputed in good faith until resolution.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective date of termination.

Either party may terminate for cause if the other party materially breaches any obligation hereunder and fails to cure such breach within days after receipt of written notice specifying the breach. Termination does not relieve Company of its obligation to pay for services performed and expenses incurred through the effective date of termination, except as otherwise expressly provided.

CONFIDENTIALITY

Each party (the "Receiving Party") acknowledges that during the course of performance it may receive Confidential Information from the other party (the "Disclosing Party"). "Confidential Information" means nonpublic business, technical and financial information, client lists, pricing, trade secrets, and other information either designated as confidential or by its nature reasonably understood to be confidential.

The Receiving Party shall not disclose Confidential Information to any third party except to employees or agents who have a need to know and who are bound by confidentiality obligations at least as restrictive as those set forth herein. The Receiving Party shall protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality obligations shall survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall remain protected for as long as they qualify as trade secrets under applicable law.

INDEMNIFICATION & LIMITATION

Provider shall indemnify, defend and hold harmless Company from and against claims, losses, liabilities and expenses arising out of Provider's gross negligence or willful misconduct in performing the services. Except for indemnification for third-party claims and obligations arising from gross negligence or willful misconduct, neither party shall be liable to the other for incidental, consequential or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments referenced herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the other's prior written consent, except that either party may assign to an affiliate or successor in interest in connection with a merger or sale of substantially all of its assets.
