GENERAL BUSINESS AGREEMENT

This General Business Agreement (Agreement) is entered into as of Effective Date: , by and between Service Provider Name: , with principal address (\"Provider\"), and Client Name: , with principal address (\"Client\"). Provider and Client are each a \"Party\" and together the \"Parties.\"

RECITALS

WHEREAS, Provider is engaged in the business of providing professional services and possesses the skill, personnel, equipment, and experience necessary to perform the services described in this Agreement; and

WHEREAS, Client desires to engage Provider to perform certain services under the terms and conditions set forth in this Agreement, and Provider is willing to provide such services to Client on the terms set forth herein.

SCOPE OF WORK

Provider shall perform the services and deliver the deliverables set forth in the Scope of Work below. Provider agrees to perform such services in a professional manner and in accordance with generally accepted industry standards.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, Client shall pay Provider the compensation set forth below in accordance with the schedule. All amounts referred to in this Agreement are in lawful currency.

Amounts not paid when due shall accrue interest at the rate of % per month (or the maximum rate permitted by law, if lower) from the due date until paid. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Provider in enforcing payment.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and continue until End Date: , unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for convenience upon providing the other Party the notice period specified above. Either Party may terminate for cause upon written notice if the other Party materially breaches any provision of this Agreement and fails to cure such breach within fourteen (14) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

During the Term and for a period of thereafter, each Party shall keep confidential all non-public information disclosed by the other Party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (\"Confidential Information\"). Confidential Information shall not include information that: (a) is or becomes generally known to the public other than by breach of this Agreement; (b) is rightfully known by the receiving Party at the time of disclosure without an obligation of confidentiality; or (c) is independently developed by the receiving Party without use of the disclosing Party's Confidential Information.

The receiving Party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, and shall not disclose Confidential Information to any third party except to its employees, agents or contractors on a need-to-know basis and who are bound by confidentiality obligations at least as protective as those set forth herein. Upon termination of this Agreement, each Party shall return or destroy the other Party's Confidential Information as requested in writing.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The Parties agree to attempt in good faith to resolve any dispute arising out of or relating to this Agreement through direct negotiation prior to initiating litigation.

MISCELLANEOUS

Entire Agreement: This Agreement, including any attachments and statements of work referenced herein, constitutes the entire agreement between the Parties regarding the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

Independent Contractor: Provider is an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee, partnership, joint venture or agency relationship between the Parties.

Assignment: Neither Party may assign this Agreement without the prior written consent of the other Party, except that either Party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

Indemnification: Each Party shall indemnify, defend and hold harmless the other Party from and against any third-party claims arising out of the indemnifying Party's gross negligence or willful misconduct in performing its obligations under this Agreement.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above (or to such other address as either Party designates by notice). Notices shall be deemed given upon receipt.
