GENERAL BUSINESS AGREEMENT

RECITALS

WHEREAS, Client requires certain professional services and deliverables as described herein; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources to perform such services in a professional manner and in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective duties, payment terms, and the terms under which services will be provided.

SCOPE OF WORK

Service Provider shall perform the services described below and deliverables shall be provided in accordance with the schedule and standards set forth in this Agreement.

PAYMENT TERMS

Compensation for services rendered under this Agreement will be as follows:

All amounts payable under this Agreement are exclusive of taxes. The party required to collect taxes shall invoice such taxes and the other party shall pay such taxes in addition to the amounts stated herein.

TERM AND TERMINATION

This Agreement commences on and continues until , unless earlier terminated in accordance with this section.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The receiving party shall not disclose Confidential Information to third parties except as required by law or with the disclosing party's prior written consent, and shall use Confidential Information only to perform obligations under this Agreement.

Confidentiality obligations shall continue for years after termination or expiration of this Agreement, except that trade secrets shall remain protected for so long as they meet statutory definitions of trade secrets.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. Except for liability arising from a party's willful misconduct or indemnification obligations, neither party shall be liable for consequential, incidental, special, or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its rules governing conflicts of law.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above, or to such other address as either party may specify by notice in accordance with this section. Notices shall be deemed given upon personal delivery, two business days after deposit with a nationally recognized courier, or three business days after mailing by certified mail.

COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures provided by electronic means shall be deemed original signatures for all purposes.
