Business Form FF — General Business Agreement

This General Business Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: with principal place of business at (hereinafter "Client"), and Service Provider Name: with principal place of business at (hereinafter "Provider").

RECITALS

WHEREAS, Client desires to engage Provider to perform certain business, consulting, or operational services as more particularly described in this Agreement; and

WHEREAS, Provider has represented that it has the skill, experience, and personnel necessary to perform the services described below and is willing to do so on the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

SCOPE OF WORK

Provider shall perform the services and deliverables described in the Scope of Work below. Provider shall perform services with reasonable skill, care, and diligence consistent with industry standards.

PAYMENT TERMS

Client shall pay Provider for the services performed in accordance with the schedule and amounts set forth below. All amounts are stated in U.S. dollars unless otherwise noted. Provider shall submit invoices in accordance with the payment schedule. Client shall make payments within the specified period after receipt of a proper invoice.

All amounts unpaid after the Payment Due Days shall incur the Late Payment Fee set forth above. Client shall also be responsible for Provider's reasonable collection costs, including attorneys' fees, incurred in recovering overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Commencement Date: and shall continue until Termination Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation and fails to cure such breach within Cure Period (days): days after written notice.

Either party may terminate this Agreement without cause upon Notice Period (days): days' prior written notice to the other party. Upon termination, Client shall pay Provider for all work performed through the effective date of termination and for non-cancellable obligations incurred by Provider prior to termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in confidence all non-public, proprietary, and confidential information disclosed by the other party (the "Disclosing Party") and shall not use or disclose such information except as permitted in this Agreement. Confidential information includes but is not limited to business plans, financial information, customer lists, technical data, trade secrets, and proprietary processes.

The Receiving Party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Obligations of confidentiality do not apply to information that: (a) is or becomes publicly available through no breach of this Agreement; (b) was lawfully in Receiving Party's possession prior to disclosure; (c) is independently developed by Receiving Party without use of Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or valid legal process, provided the Receiving Party gives prompt written notice to the Disclosing Party where permitted and cooperates with any lawful efforts to limit or contest the disclosure.

Upon termination or expiration of this Agreement, the Receiving Party shall, at the Disclosing Party's election, return or destroy Confidential Information and certify such return or destruction in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for disputes arising under this Agreement.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that a party may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of substantially all its assets, provided the assignee assumes the assigning party's obligations.

Amendment: This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

ENTIRE AGREEMENT

This Agreement, including all attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. Any representations, warranties, or promises not expressly set forth in this Agreement shall have no force or effect.
