BUSINESS FORMAT DOCUMENT

This Business Format Document (the "Agreement") is made effective as of Effective Date: by and between Party A Name: and Party B Name: .

RECITALS

WHEREAS, Party A is engaged in the business of providing business format, operational processes, and related advisory services; and

WHEREAS, Party B desires to obtain from Party A certain business format materials and assistance, and Party A agrees to provide such materials and assistance on the terms and conditions set forth herein; and

WHEREAS, the parties intend for this Agreement to set forth the respective rights and obligations of each party with respect to the services and materials described below.

SCOPE OF WORK

Party A will provide the following services, deliverables, and operational materials to Party B in accordance with the terms of this Agreement.

PAYMENT TERMS

Compensation: Party B shall pay Party A the total Compensation Amount of $ for the services described in this Agreement.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of (a) % per month or (b) the maximum rate permitted by applicable law. In addition, Party B shall be responsible for all reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

Term: The term of this Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement without cause upon written notice delivered at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate this Agreement if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means all nonpublic information disclosed by either party to the other that is designated as confidential or that, given the nature of the information or circumstances of disclosure, reasonably should be understood to be confidential.

Obligations: The receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable degree of care; and (c) not disclose Confidential Information to any third party except to employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Exclusions: Confidential Information does not include information that (i) is or becomes generally available to the public through no wrongful act of the receiving party; (ii) was rightfully known by the receiving party prior to disclosure; (iii) is independently developed without use of Confidential Information; or (iv) is rightfully received from a third party not under an obligation of confidentiality.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction and venue of competent courts located in that State for any action arising out of or relating to this Agreement.

MISCELLANEOUS

Independent Contractors: The parties are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the parties.

Indemnification: Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims, liabilities, losses and expenses arising from the indemnifying party's breach of this Agreement, negligent acts or willful misconduct.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.
