Recitals

Any payment not received within days after the invoice due date shall incur a late fee of % per month on the outstanding balance, plus any costs of collection, including reasonable attorneys' fees.

Term and Termination

This Agreement shall commence on the Start Date: and shall continue until the End Date: unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for convenience upon written notice to the other Party delivered at least days prior to the effective termination date. Either Party may terminate immediately for material breach if the breaching Party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by one Party to the other Party in connection with this Agreement, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement, and (iii) not disclose Confidential Information to any third party except to those employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information shall not include information that is or becomes publicly available without breach, was rightfully known prior to disclosure, is rightfully received from a third party without restriction, or is independently developed without use of Confidential Information.

The confidentiality obligations in this section shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law rules. The Parties consent to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising out of or related to this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the Parties at their respective addresses set forth below, or to such other address as a Party may designate in writing.

Miscellaneous

Entire Agreement: This Agreement, including all schedules and attachments hereto, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification shall be binding unless in writing and signed by both Parties.

Assignment: Neither Party may assign this Agreement without the prior written consent of the other Party, except that either Party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

Severability: If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect and the Parties shall endeavor to replace the invalid provision with a valid provision that most closely approximates the intent and economic effect of the invalid provision.
