Recitals

Confidentiality

For purposes of this Agreement, "Confidential Information" means all nonpublic information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, financial information, technical data, product designs, customer information, and pricing.

Each party shall (a) hold Confidential Information of the other party in strict confidence, (b) use Confidential Information only to perform its obligations under this Agreement, and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who need such information to perform under this Agreement and who are bound by confidentiality obligations at least as protective as those set forth herein.

The obligations set forth in this section shall continue for years following termination or expiration of this Agreement, except with respect to trade secrets for which protection shall continue for so long as the information qualifies as a trade secret under applicable law. Confidential Information shall not include information that (i) becomes generally known to the public without breach of this Agreement, (ii) was known to the receiving party prior to disclosure, or (iii) is rightfully obtained from a third party without restriction.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of laws principles. The parties agree to negotiate in good faith to resolve disputes and, if unsuccessful, to submit disputes to binding arbitration before a mutually agreed arbitrator in the governing jurisdiction.

Representations; Indemnity

Each party represents and warrants that it has full corporate power and authority to enter into this Agreement and to perform its obligations. Each party shall indemnify, defend, and hold harmless the other party from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, willful misconduct, or violation of applicable law.

Entire Agreement; Amendment

This Agreement, together with any exhibits or attachments specifically incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to an affiliate or in connection with a sale of substantially all of its assets or equity.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Independent Contractors: The parties are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties.
