BUSINESS FORMULA APPROVAL

RECITALS

WHEREAS, the Approving Party is the owner of, and maintains confidential control over, a proprietary business formula, methodology, trade secret information, and associated documentation and know‑how (the Business Formula);

WHEREAS, the Recipient Party seeks the limited right to use the Business Formula for the specific purposes and within the scope described in this Agreement, and the Approving Party is willing to grant such approval subject to the terms and conditions set forth below; and

WHEREAS, the parties intend that any approval granted shall not constitute a transfer of ownership of intellectual property, except as expressly stated herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice. Either party may terminate for convenience upon days' prior written notice.

Upon termination or expiration, Recipient shall immediately cease all use of the Business Formula and return or destroy all materials as directed by Approving Party; survival provisions (confidentiality, indemnity, payment obligations, and ownership) shall continue as provided herein.

CONFIDENTIALITY

The Business Formula and any related materials, data, or information provided by Approving Party to Recipient constitute Confidential Information. Recipient shall (a) use Confidential Information solely for the Permitted Use, (b) maintain it in strict confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care, and (c) not disclose it to any third party except to employees, contractors, or advisors who have a need to know and are bound to confidentiality obligations no less protective than those in this Agreement.

Exceptions: Confidential Information does not include information that: (i) is or becomes publicly known through no breach by Recipient; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by Recipient without use of or reference to Confidential Information; or (iv) is required to be disclosed by law or by court order, provided Recipient gives prompt notice and cooperates to seek protective measures.

Confidentiality Duration: years from the date of disclosure, unless a longer period is required by applicable trade secret laws.

INTELLECTUAL PROPERTY; NO ASSIGNMENT OF OWNERSHIP

All intellectual property rights, including trade secrets, patents, copyrights, trademarks, and know‑how embodied in the Business Formula remain exclusively with the Approving Party. This Agreement grants only a limited approval to use the Business Formula as expressly set forth herein and does not transfer ownership, title, or any other rights except the limited rights expressly granted. Recipient shall not register, attempt to register, or claim ownership of any intellectual property related to the Business Formula.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Each party represents that it has full power and authority to enter into this Agreement. Approving Party represents that it has the right to grant the approval described herein. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE BUSINESS FORMULA IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. Recipient agrees to indemnify, defend and hold harmless Approving Party from and against any claims, losses, liabilities, or expenses arising out of Recipient's use, distribution, or misuse of the Business Formula or breach of this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of without giving effect to conflict of laws principles. The parties shall attempt in good faith to resolve disputes by negotiation prior to initiating litigation.

ENTIRE AGREEMENT

This Agreement, including all schedules and exhibits attached hereto (if any), constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
