BUSINESS FOUNDATION TEMPLATE

Recitals

WHEREAS, Party A has developed certain business concepts, organizational structures, strategic plans, and intellectual property intended to form the foundational operations of a new commercial enterprise (the "Foundation"); and

WHEREAS, Party B has the expertise, resources, and agreement to provide services, perform actions, or supply capital necessary to implement the Foundation pursuant to the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises below, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows.

Scope of Work

Party B shall perform the services necessary to establish the Foundation, including but not limited to business plan development, corporate formation assistance, operational setup, initial vendor selection, and advisory services as detailed below.

Payment Terms

As full compensation for performance of the Scope of Work, Party A shall pay Party B in accordance with the following terms.

If any undisputed invoice or payment is not received within days after the due date, Party A shall pay a late fee of and interest at a rate of on the outstanding amount until paid in full.

Term and Termination

Term: This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Termination for Convenience: Either Party may terminate this Agreement without cause by giving written notice to the other Party at least days prior to the effective termination date.

Termination for Cause: Either Party may terminate immediately upon written notice if the other Party materially breaches any provision of this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means any business, technical, financial, or operational information disclosed by one Party (the Disclosing Party) to the other (the Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The Receiving Party shall (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure of Confidential Information to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (iii) take reasonable measures to protect the confidentiality of such information.

Exceptions: Confidential Information does not include information that (a) is or becomes generally available to the public through no fault of the Receiving Party; (b) was known to the Receiving Party prior to disclosure as evidenced by written records; (c) is lawfully obtained by the Receiving Party from a third party without restriction; or (d) is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information.

Required Disclosure: If the Receiving Party is compelled by law or valid legal process to disclose Confidential Information, it shall promptly notify the Disclosing Party (to the extent permitted) and cooperate in any commercially reasonable effort to obtain confidential treatment or a protective order.

Duration: The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as such information remains a trade secret under applicable law.

Representations; Warranties; Indemnity

Each Party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. Each Party shall indemnify and hold harmless the other Party from and against any third-party claims arising out of the indemnifying Party's negligence, willful misconduct, or material breach of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The Parties shall attempt in good faith to resolve disputes promptly by negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of courts located within that State.

Severability; Amendment; Entire Agreement

Severability: If any provision of this Agreement is invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the Parties' intent.

Amendment: No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.

Entire Agreement: This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

Miscellaneous Provisions

Notices shall be in writing and delivered to the addresses set forth above or to such other address as a Party designates in writing. Headings are for convenience only and do not affect interpretation. Neither Party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.

Execution: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Facsimile or electronic signatures shall be binding for all purposes.
