What the Business Freestyle Agreement Is

The Business Freestyle Agreement is a flexible, business-to-business contract template that captures negotiated terms, responsibilities, and deliverables without a rigid clause structure. It is typically used for short-term engagements, scope changes, pilot projects, or where parties prefer a plain-language statement of obligations. The document records parties, effective date, consideration, deliverables, payment terms, and termination conditions, and can be executed electronically under U.S. law when the parties demonstrate intent and consent to transact electronically.

Why organizations use a Freestyle Agreement

A Business Freestyle Agreement lets parties document bespoke terms quickly while preserving legal clarity. It reduces negotiation overhead, can be tailored to industry needs, and supports electronic execution under ESIGN and most state UETA laws when properly executed.

Why organizations use a Freestyle Agreement

Common users and signers of this agreement

Organizations and individuals who need a concise, negotiable contract without boilerplate complexity often use this form.

  • Business owners and operators needing one-off service or project terms.
  • Procurement and operations teams finalizing short-term vendor relationships.
  • Legal and contract managers approving flexible, low-risk engagements.

The agreement suits small and mid-size companies as well as enterprise teams that require rapid, auditable approvals and adaptable terms.

Step-by-step: completing the Business Freestyle Agreement

Follow this sequence to prepare, approve, and execute the agreement while preserving evidence of consent and authenticity.

  • 01
Draft the terms: Draft clear obligations, dates, and payment terms.
  • 02
Review internally: Obtain approvals from procurement, legal, or finance as required.
  • 03
Prepare for signing: Place signature, date, and initial fields; add attachments.
  • 04
Execute and store: Sign electronically, capture audit trail, and retain records.

Essential parts every professional Freestyle Agreement should include

A complete agreement balances simplicity with essential legal protections; include the components below to make the document practical and enforceable.

Parties

Identify each contracting entity by full legal name, business type (LLC, corporation, individual), and principal address so the contract clearly ties obligations to legal entities.

Scope

Describe services, deliverables, milestones, and acceptance criteria. Use measurable deliverables and attach schedules or statements of work as exhibits where helpful.

Payment Terms

Specify amounts, invoicing cadence, payment window, late fees, and any retainers. Clarify responsibility for taxes and reimbursable expenses to prevent billing disputes.

Term & Termination

State the contract duration, renewal conditions, and termination rights including cure periods and the effect of termination on outstanding obligations.

Liability & Indemnity

Define liability caps, exclusions for consequential damages if desired, and indemnity obligations to allocate risk fairly and predictably.

Confidentiality & IP

Address handling of confidential information, ownership or assignment of intellectual property, and any license terms needed for deliverables or code.

Security and compliance elements to note

Encryption in transit: TLS 1.2/1.3
Encryption at rest: AES-256
Audit trail: Timestamped event log
HIPAA support: BAA available
Certifications: SOC 2 Type II
Regulatory scope: ESIGN, UETA

Configuring an online signing workflow

Set up roles, authentication, and routing so the signing sequence and verification match the contracting parties' needs and any regulatory requirements.

Field Configuration
Signer Order Sequential or parallel routing
Authentication Email link, SMS code, or KBA
Reminders Automated reminders and expiration
Attachments Append exhibits or invoices

How electronic execution typically flows

A predictable electronic workflow preserves intent, captures evidence, and reduces time-to-sign while meeting legal requirements for electronic records.

  • Upload document: Sender uploads final agreement copy
  • Add fields: Place signature, date, and initial fields
  • Invite signers: Send email or generate signing link
  • Complete signing: Signers authenticate, sign, and receive copies

Delivery channels and technical requirements

Choose platforms and integrations that match your document volume, authentication needs, and storage policies.

  • File formats: PDF, DOCX, HTML
  • Integrations: Salesforce, NetSuite, Microsoft 365
  • Authentication: Email, SMS, SSO

Timing considerations and common deadlines

Track dates that affect performance, notice, tax reporting, and retention to avoid missed obligations or financial penalties.

Effective Date:

Date obligations begin; enter MM/DD/YYYY

Payment due:

As specified in payment terms; often net 30

Tax reporting:

1099-NEC recipient copies due by Jan 31

Record retention:

Retain per regulatory guidance (see retention)

Contract renewals:

Notice windows typically 30–90 days

Common pitfalls to avoid when preparing the agreement

  • Vague scope descriptions that omit acceptance criteria often trigger disputes and delay payment or project delivery.
  • Using informal names rather than legal entity names can create ambiguity about who is obligated under the agreement.
  • Missing or inconsistent dates (effective, invoice, milestone) undermine enforcement and complicate timeline-based remedies.
  • Failing to capture signer authorization and title increases the risk that a counterparty will challenge the agreement's validity.

Material legal and financial risks to watch

Tax reporting: 1099 late-filing penalties (IRC §6721)
I-9 violations: I-9 paperwork fines (8 CFR §274a.2)
HIPAA exposure: HIPAA penalties for PHI mishandling
Invalid signature: Improper execution may void agreement
Breach damages: Potential compensatory remedies
Intentional disregard: Higher penalties for deliberate noncompliance

Legal validity: when an electronic signature will hold up

Electronic execution is enforceable in interstate and most intrastate transactions when it meets ESIGN and UETA elements: intent to sign, consent to electronic records, attribution, and reliable record retention. Certain categories (wills, some court filings) are generally excluded from electronic signature rules.
