BUSINESS FUEL DOCUMENT

This Business Fuel Document (the "Agreement") is entered into by the parties identified below on the Effective Date. Supplier Name: and Client Name: agree as follows.

WHEREAS

WHEREAS, Supplier supplies motor fuel, diesel, lubricants and related fueling services and equipment and has the capacity to deliver or dispense fuel to Client for use in Client's business operations; and

WHEREAS, Client requires a regular supply of fuel and related services and desires to engage Supplier on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

Either party may terminate this Agreement for convenience upon giving days' prior written notice to the other party. Termination for material breach is permitted immediately upon written notice if the breaching party fails to cure within days after receipt of notice of breach.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive confidential or proprietary information of the other party ("Confidential Information"). Confidential Information excludes information that is (a) publicly known other than by breach of this Agreement; (b) rightfully received from a third party without obligation of confidentiality; or (c) independently developed by the receiving party. The receiving party shall not disclose Confidential Information to any third party except to its employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. The obligations of confidentiality shall survive termination for a period of three (3) years.

DELIVERY, TITLE AND RISK OF LOSS

Title and risk of loss for delivered fuel shall pass to Client upon completion of offload at the delivery location specified by Client or upon dispensation at a Supplier-controlled fueling location, as applicable. Supplier will use commercially reasonable measures to meet scheduled deliveries and shall notify Client promptly of any anticipated delays.

INSURANCE, INDEMNITY AND LIMITATION OF LIABILITY

Supplier shall maintain commercial general liability and automobile liability insurance with limits not less than per occurrence and provide certificates on request. Each party shall indemnify, defend and hold harmless the other from claims arising out of its negligence or willful misconduct in connection with this Agreement, except to the extent caused by the other party's negligence. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES EXCEPT FOR CLAIMS ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

RECORDS AND AUDIT

Supplier will maintain accurate records of deliveries, quantities, and invoices for a period of three (3) years. Client has the right, upon reasonable notice and during normal business hours, to inspect and audit such records to verify charges and compliance. Disputed amounts will be resolved in good faith and adjustments effected on the next invoice.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits, schedules and purchase orders expressly incorporated herein, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior negotiations, representations or agreements, whether written or oral. Any modification must be in a written instrument signed by authorized representatives of both parties.

MISCELLANEOUS

Force Majeure: Neither party shall be liable for delay or failure to perform due to events beyond its reasonable control, provided prompt notice is given and reasonable steps are taken to mitigate. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor to substantially all of its business.
