Compensation for services shall be as set forth below. Contractor shall invoice Company in accordance with the schedule and conditions specified. All payments are due in United States currency unless otherwise agreed in writing.

Late payments shall incur a late fee. Late fee: on overdue balances, plus recovery of collection costs and reasonable attorneys' fees.

Term and Termination

This Business Function Sheet shall commence on and terminate on , unless earlier terminated in accordance with this section.

Either party may terminate for convenience by providing written notice to the other party at least days prior to the intended termination date. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days following written notice of such breach.

Upon termination, Contractor shall deliver all completed deliverables and reasonably requested work-in-progress, and Company shall pay Contractor for services performed and reimbursable expenses incurred through the effective date of termination, subject to any setoffs or permitted deductions.

Confidentiality

Each party (the "Receiving Party") shall maintain in strict confidence all non-public, proprietary, or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Business Function Sheet. Confidential information does not include information that: (a) is or becomes publicly available without breach; (b) was rightfully known to the Receiving Party prior to disclosure; (c) is independently developed without use of the Disclosing Party's confidential information; or (d) is rightfully obtained from a third party without confidentiality obligations.

The Receiving Party shall restrict disclosure of Confidential Information to those employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less protective than those contained herein. The obligations of confidentiality shall survive termination or expiration of this Business Function Sheet for a period of three (3) years, provided that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

Governing Law

This Business Function Sheet shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts located within that state for resolution of disputes arising under this Business Function Sheet.

Entire Agreement; Amendments

This Business Function Sheet, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Allocation of liability, indemnification, insurance, and assignment rights shall be as follows. Contractor agrees to indemnify and hold Company harmless from third-party claims arising out of Contractor's breach of this Business Function Sheet or negligence in performance of the services, except to the extent caused by Company's gross negligence or willful misconduct.
