What a Business Funding SAFT Agreement Is and When It’s Used

A Business Funding SAFT Agreement is a contract used when investors provide capital in exchange for a future right to receive tokens or other digital assets once the issuer creates and distributes them. It sets purchase amount, conversion triggers, token allocation mechanics, investor representations, transfer restrictions, and governing law. SAFTs are commonly used in early-stage blockchain and token projects where tokens are not yet issued. They are legal financing instruments that typically require tailored legal review to address securities law, tax, and regulatory compliance before execution.

Why This Agreement Matters for Fundraising and Compliance

A well-drafted Business Funding SAFT Agreement clarifies investor rights, conversion mechanics, and funding conditions, which reduces disputes and supports regulatory compliance. It documents material terms for audits, investor onboarding, and later token distribution.

Why This Agreement Matters for Fundraising and Compliance

Who Commonly Prepares and Signs a SAFT

The agreement is typically prepared by founders and their counsel and signed by accredited or institutional investors depending on offering terms.

  • Founders and executives preparing financing terms and conversion mechanics.
  • Legal counsel drafting representations, securities disclosures, and investor qualifications.
  • Accredited investors or institutional purchasers who provide capital under purchase terms.

Use this section to confirm roles before circulation to reduce execution delays and downstream compliance work.

  • 03
Execute: Collect investor signatures and confirm payment instructions or escrow receipt.

Common Preparation Errors That Cause Delay or Dispute

  • Leaving conversion mechanics vague, such as unspecified discount or valuation cap, which can trigger investor disputes and litigation.
  • Uploading unsigned or partially filled templates to e-sign platforms without clear signer order, causing invalid signature sequences.
  • Using inconsistent party names between agreement, subscription documents, and payment instructions, leading to bank or escrow rejections.
  • Failing to document investor accreditation or KYC, which can result in securities law noncompliance and enforcement risk.

How to Configure a Digital Signing Workflow for a SAFT

Configure a stepwise workflow to ensure the correct signer order, authentication, and document retention settings before sending.
