Recitals

WHEREAS, Party A is engaged in the business of providing professional services and proprietary deliverables described below; and

WHEREAS, Party B desires to retain Party A to perform such services in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties intend that this Agreement set forth the full understanding between them regarding the Scope of Work, Payment, Confidentiality, and Termination.

1. Scope of Work

Party A shall perform the services and deliverables set forth in this Section and any attachments. Deliverables must conform to the specifications and schedule agreed by the parties.

2. Payment Terms

Party B shall pay Party A in consideration for services performed as follows. All payments are due in U.S. dollars unless otherwise agreed in writing.

All undisputed invoices not paid when due shall accrue interest at the rate set forth above and the prevailing non-usurious late interest rate if lesser. Party A may suspend performance for any invoice overdue by more than 30 days after written notice.

3. Term and Termination

Term: This Agreement commences on the Start Date and continues until the End Date or until earlier termination in accordance with this Section.

4. Confidentiality

Each party (the "Receiving Party") shall keep confidential any non-public information disclosed by the other party (the "Disclosing Party") and shall not use such Confidential Information except to perform its obligations under this Agreement. Confidential Information excludes information that is (a) publicly known through no breach by Receiving Party; (b) known to Receiving Party prior to disclosure; (c) lawfully received from a third party; or (d) independently developed without use of Disclosing Party's Confidential Information.

The Receiving Party shall return or destroy Confidential Information upon written request or upon termination of this Agreement, except for one archival copy retained for legal compliance.

5. Representations; Independent Contractor

Each party represents that it has the authority to enter into this Agreement. Party A performs services as an independent contractor and not as an employee or agent of Party B. Neither party shall have authority to bind the other except as expressly provided in writing.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction set forth above without regard to conflict of law principles.

7. Entire Agreement; Amendments

This Agreement and any written attachments or exhibits constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements, understandings, negotiations, and discussions. No amendment will be effective unless in writing and signed by authorized representatives of both parties.

8. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as either party designates by notice in accordance with this Section.

9. Miscellaneous

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute a waiver of any other breach.
