What the Business GEM Template Is and When It’s Used

The Business GEM Template is a standardized commercial agreement used to document a business relationship, scope of services, payment terms, and basic governance clauses in a single, reusable file. It is intended for routine vendor engagements, service agreements, or intercompany arrangements where parties prefer a short, clear contract structure with consistent fields for names, dates, deliverables, milestones, and termination provisions. The template is format-neutral and suitable for PDF or DOCX workflows; when executed electronically it must meet ESIGN and applicable state UETA/ESRA requirements to be enforceable in the United States.

Why organizations adopt the Business GEM Template

A single, well-structured template reduces drafting time, ensures consistent legal terms across similar engagements, and makes review cycles predictable. Using a template helps non-law teams prepare documents that include required business and compliance information, simplifies electronic signature routing, and makes retention and audit processes easier to standardize.

Why organizations adopt the Business GEM Template

  • Legal and contracts teams — review and finalize clauses such as liability, indemnity, and governing law.
  • Finance and accounts payable — confirm compensation terms, invoicing cadence, and tax-related fields.

Payment amounts, currency, invoicing requirements, and payment windows including late fees or holdback conditions for nonconforming deliveries.

Liability and Indemnity

Caps, exclusions, and mutual indemnities that reflect commercial risk allocation appropriate for the transaction value and industry standards.

Termination and Notices

Termination triggers, cure periods, and designated notice addresses and formats to ensure parties can exercise exit rights and preserve remedies.

Detailed statement of work or project schedule attached as an exhibit so technical deliverables are separate from commercial terms.

Exhibit B

Fee schedule or payment milestones with invoice instructions to reduce disputes and simplify accounts payable processing.

Common preparation errors to avoid

  • Using inconsistent corporate names or abbreviations across documents can prevent account setup and lead to payment delays with vendors and banks.
  • Leaving effective date blank or using ambiguous date language creates uncertainty about performance windows, warranties, and statute of limitations.
  • Vague scope descriptions such as 'as needed' or 'reasonable efforts' produce disputes over deliverables and can delay acceptance and payment.
  • Failing to collect a completed W-9 or accurate tax identification causes backup withholding and complicates year-end reporting.
