Recitals

This Business Goals Template (the "Agreement") is entered into by the parties identified below for the purpose of documenting, aligning, and enforcing business objectives, responsibilities, milestones, and related commercial terms.

WHEREAS, Client Name: engages Service Provider Name: to collaboratively define, implement, and measure business goals as set forth in this Agreement; and

WHEREAS, the parties desire that the goals, deliverables, payment terms, confidentiality obligations, and dispute-resolution framework be documented to protect each party's interests and to provide clear metrics for performance evaluation.

Scope of Work

The Service Provider shall undertake the activities described above and provide periodic reports and evidence of progress pursuant to the milestones and KPIs set out in this Agreement. Any material change to scope shall be recorded in writing and executed by authorized representatives.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least Notice Period (days): days prior to the intended termination date. Termination for cause may be effected immediately where a material breach is not cured within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Each party shall maintain as confidential all nonpublic information disclosed by the other party that is designated confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that (i) is or becomes generally known to the public through no act or omission of the receiving party, (ii) is lawfully received from a third party without restriction, or (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall use the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Upon termination of this Agreement, Confidential Information shall be returned or destroyed as requested by the disclosing party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to its conflict of law principles. The parties agree to submit to the exclusive jurisdiction of the courts in such state for disputes arising out of or relating to this Agreement.

Entire Agreement

This Agreement, together with any attachments or written amendments executed by authorized representatives of the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment must be in writing and signed by both parties.
