What a Business Goods and Services Agreement Covers

A Business Goods and Services Agreement is a contract that sets the terms between a supplier and a buyer for the sale of goods or the provision of services. It defines parties, scope of work, deliverables, pricing, payment terms, delivery or performance schedules, inspection and acceptance procedures, warranties, indemnities, and termination rights. The agreement creates enforceable obligations and allocates commercial risk; it is used for one-off transactions, ongoing supply relationships, project-based services, and to document terms required for invoicing, insurance, and regulatory compliance.

Why this Agreement Matters for Business Operations

A clear written agreement reduces disputes, sets payment and delivery expectations, and preserves remedies such as liquidated damages or warranty claims while providing evidence for enforcement in court or arbitration.

Why this Agreement Matters for Business Operations

Who Typically Prepares or Signs This Agreement

Signers should ensure they have authority to bind their organization and that the document aligns with purchasing policies, insurance coverage, and statutory obligations.

  • Procurement and purchasing managers who issue and accept supply terms for goods and recurring services.
  • Small-business owners or independent contractors who need standard terms for deliveries, invoicing, and scope control.
  • In-house counsel or outside attorneys who negotiate liability, IP, confidentiality, and termination provisions.

Core Elements to Include in a Professional Agreement

Include clear, actionable clauses so expectations and remedies are unambiguous; these six items form the backbone of a reliable business goods and services agreement.

Unit prices, totals, invoicing schedule, payment terms, late fees, taxes, and any retainers or deposit requirements.

Incoterms or delivery terms, transfer of title, risk of loss, shipping responsibilities, and inspection periods.

Warranties and Remedies

Express warranty language, remedy for breach, cure periods, and limits on consequential damages or disclaimers.

  • Contract Repository: Store final PDF in centralized system
  • Legal File: Retain executed agreement for audit

Distribution and eSubmission Considerations

Many eSignature platforms support integrations (CRM, ERP, cloud storage) and varying authentication levels; select the combination that balances signer convenience and legal defensibility.

  • Email Delivery: Suitable for low-risk transactions
  • Secure Link: Use for authenticated signer access
  • Integration: Connect to CRM or ERP for recordkeeping

Common Timeframes and Deadlines to Track

Track performance, invoicing, acceptance, and statutory reporting deadlines to avoid penalties and payment disputes.

Performance Dates:

Specify delivery or completion dates and milestones

Payment Due Date:

State net terms (e.g., Net 30) and invoice submission timing

Inspection Period:

Set a defined acceptance window for goods or services

Tax Reporting:

Reportable payments may require 1099 issuance by Jan 31

Notarization/RON Timing:

Common Preparation Mistakes to Avoid

  • Using vague scope language that leaves deliverables undefined and leads to disputes over performance expectations.
  • Failing to identify the correct legal entity or signer authority, which can delay payment and invalidate enforcement.
  • Omitting acceptance criteria or inspection periods, causing disagreements over whether goods or services meet contract standards.
  • Neglecting to allocate risk (insurance, indemnity, limitation of liability) in line with the commercial value of the transaction.

Potential Financial and Legal Consequences

Late 1099 Penalties: $60 | $130 | $330 per form
Intentional Disregard: $660+ per form uncapped

Practical Tips for Faster, More Reliable Agreements

Implement these practices to reduce rework, speed approval, and strengthen legal defensibility.

Standardize contract templates across the organization
Maintain a centrally approved template with modular clauses for warranties, indemnities, and termination. Standardization reduces negotiation time, improves consistency across deals, and helps procurement and legal teams apply approved risk tolerances effectively.
Use clear acceptance criteria and inspection periods
Spell out measurable metrics, sample sizes, and timelines for inspection and rejection. Clear acceptance language prevents disputes over quality and provides objective grounds for withholding payment until nonconforming items are remedied.
Record authorization and signatory authority
Include a signer authority block and require documentation of delegated signing rights when appropriate. This avoids execution of agreements by individuals without corporate power to bind the entity.
Preserve audit trails for electronic signatures
Capture signer identity, IP address, timestamps, and changes. An auditable record supports enforceability under ESIGN and UETA and provides key evidence in case of later challenges.
