What the Business Grafted Board Template Is

The Business Grafted Board Template is a corporate board resolution and recordkeeping form used to document a change in board composition, appointment of new directors, or amendment to board authority. It standardizes recitals, the action taken, the effective date, and signature blocks so corporate secretaries and counsel can create a clear, reproducible corporate record for meetings, consents, or filings. The template is adaptable for meetings, unanimous written consents, or committee actions and is designed to be stored with minutes and corporate records as the authoritative evidence of board action.

Why a Standardized Template Matters for Governance

A clear template reduces ambiguity, creates an audit-ready record of board actions, and ensures consistent language for authority, effective dates, and signer identification which supports legal compliance and internal governance.

Why a Standardized Template Matters for Governance

Who Typically Prepares and Uses This Template

Typical users prepare and file these templates to document official board decisions and to support corporate governance and regulatory compliance.

  • Corporate secretary or general counsel managing corporate records and minute books.
  • In-house legal or outside counsel drafting resolutions for board approval.
  • Founders, executives, or corporate officers formalizing director appointments or role changes.

Use by the right role helps ensure signatures are valid, minutes match the resolution language, and any required filings reflect the board-approved action.

Primary Signers and Their Typical Roles

Corporate Secretary

Usually prepares and archives the resolution, confirms quorum and voting records, and maintains the minute book and corporate records to ensure the resolution is available for audits and future governance reviews.

Chair / Director

Signs to confirm board approval; may certify the resolution for third parties, attest to meeting procedures, and provide an executed copy for corporate filings or banking counterparties.

Core Elements to Include in a Professional Template

A complete template groups the facts, formal action language, and supporting exhibits so the record is usable for internal governance, third-party review, and filing where required.

Title & Recitals

Clear heading, meeting or consent date, and brief background facts that explain why the board is acting and establish the factual basis for the resolution.

Resolved Clause

Precise action language stating the appointment, authority change, or amendment with any limits, effective date, and scope of authority granted or revoked.

Signatures and Dates

Dedicated signature blocks for each authorized signer with printed name, title, date, and corporate seal line if required by bylaws or state practice.

Exhibits & Attachments

Supporting documents such as amended bylaws, director consents, appointment letters, or registry forms attached as enforceable exhibits.

Certification Line

A certification by the corporate secretary or officer confirming the resolution’s adoption, vote counts, and record placement in the minute book.

Notary / Witness

Optional notary or witness section where state rules or corporate policy require acknowledgement or notarization for third-party reliance.
