Defining the Business Grounds Document

A Business Grounds Document is a formal written record that states the factual basis and legal rationale for a corporate action, claim, or administrative decision. It consolidates the parties involved, relevant dates, material facts, contractual references, and the relief or outcome sought. Organizations use this document to support internal approvals, regulatory submissions, dispute resolution, or board records. When properly completed, it creates a clear, auditable account of why a decision was made and provides the basis for subsequent filings, signatory approvals, or preservation in a compliance file.

Why a Clear Business Grounds Document Matters

A concise Business Grounds Document reduces ambiguity, supports legal defenses, and speeds internal approvals by documenting facts and authority in one place.

Exhibits

Attachments such as contracts, emails, invoices, and screenshots that are labeled and cross-referenced in the narrative.

Authorization

Evidence Loss: Missing exhibits weaken positions

Common Mistakes to Avoid

  • Failing to attach dated supporting documents, which creates gaps in the factual timeline and weakens the record.
  • Using conclusory or opinion language rather than verifiable facts tied to dates, sources, and exhibits.
  • Not confirming signer authority or failing to record the delegation that shows who may sign on behalf of an entity.
