GENERAL SERVICES AGREEMENT (GSA)

This General Services Agreement ("Agreement") is made and entered into as of by and between the parties identified below.

Parties

WHEREAS

WHEREAS, Client requires certain professional services described herein and desires to engage Service Provider to perform such services on the terms and conditions set forth in this Agreement.

WHEREAS, Service Provider represents that it has the experience, personnel, equipment and financial capacity to perform the services in a professional and workmanlike manner and in compliance with all applicable laws.

WHEREAS, the parties desire to set forth the scope, payment, confidentiality, term and other terms governing their business relationship in this Agreement.

Scope of Work

Service Provider shall perform the services described below in accordance with the standards and schedule agreed by the parties.

Payment Terms

Client shall pay Service Provider for the performance of the Scope of Work in accordance with the following terms.

All amounts are payable in U.S. dollars unless otherwise specified. Client shall be responsible for all sales, use or other taxes applicable to fees, excluding Service Provider income taxes.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement immediately for cause if the other party (a) materially breaches any obligation and fails to cure within the cure period, (b) becomes insolvent, or (c) ceases business operations. Upon termination, Client shall pay Service Provider for services performed to the effective date of termination and any non-cancellable obligations.

Confidentiality

Each party acknowledges that it may receive Confidential Information of the other party. "Confidential Information" means non-public information marked or identified as confidential or that reasonably should be understood to be confidential given the nature of the information. Each receiving party shall: (a) protect Confidential Information with at least the same degree of care it uses for its own confidential information, (b) use Confidential Information only to perform obligations under this Agreement, and (c) not disclose Confidential Information to third parties except as necessary for performance or as required by law subject to advance notice where permitted.

Representations, Indemnification and Insurance

Each party represents and warrants that it has the authority to enter into this Agreement and perform its obligations. Service Provider shall indemnify, defend and hold harmless Client from claims arising out of Service Provider's gross negligence or willful misconduct. Client shall indemnify Service Provider against liabilities arising from Client-provided materials or Client's breach. Each party shall maintain insurance customary for the services to be performed, including commercial general liability and professional liability where applicable.

Compliance with Laws

Service Provider shall perform the services in compliance with all applicable federal, state and local laws, rules and regulations. Service Provider shall obtain and maintain any licenses, permits or approvals required to perform the services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

Entire Agreement

This Agreement, including all attachments and statements of work incorporated by reference, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and communications, whether written or oral, relating to its subject matter. No amendment or modification shall be effective except in a writing signed by both parties.

Notices

All notices required or permitted by this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by notice given in accordance with this section. Notices shall be deemed received upon personal delivery, one business day after delivery to an overnight courier, or three business days after deposit in the U.S. mail, postage prepaid.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or corporate reorganization. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.

Remedies: The rights and remedies provided in this Agreement are cumulative and in addition to any other rights or remedies available at law or in equity.
