NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

This Agreement is effective as of , (the "Effective Date").

SCOPE OF WORK

The Service Provider shall perform the services and provide the deliverables described in the scope below. The scope may be amended only by written agreement signed by both parties.

PAYMENT TERMS

The Client shall pay the Service Provider for the services performed in accordance with the terms set forth below. All fees are exclusive of taxes unless otherwise stated. Payment shall be made in U.S. Dollars unless otherwise agreed in writing.

Late payments shall incur interest and fees as set forth below.

TERM AND TERMINATION

The term of this Agreement shall commence on , and continue until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the intended termination date. Termination for material breach may be effected immediately if a breaching party fails to cure within any cure period specified elsewhere in this Agreement.

CONFIDENTIALITY

Each party (the "Recipient") shall hold in strict confidence and not disclose to any third party nor use for any purpose other than the performance of this Agreement any Confidential Information of the other party (the "Discloser"). "Confidential Information" means all non-public business, technical, financial, and other information disclosed in any form. Confidential Information does not include information that (a) is or becomes publicly available through no fault of the Recipient; (b) is rightfully received from a third party without disclosure obligation; (c) is independently developed by the Recipient without use of the Discloser's Confidential Information; or (d) is required to be disclosed by law or court order, provided the Recipient gives prompt written notice and cooperates with Discloser in any protective action.

The obligations of confidentiality shall continue for a period of following termination or expiration of this Agreement.

MISCELLANEOUS

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a sale of all or substantially all of its assets or equity.

Amendment: This Agreement may be amended or modified only by a written instrument executed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect and shall be interpreted to effectuate the parties' intent.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments or written statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral, relating to such subject matter.

By signing below, each party acknowledges that it has read this Agreement, understands its terms, and has authority to bind the entity for which it signs.
