BUSINESS HAF FORMS

This Business Services Agreement (the "Agreement") is made as of Agreement Date: by and between:

Recitals

WHEREAS, Client desires to retain Service Provider to perform the services described in this Agreement and Service Provider has represented that it has the expertise, personnel and resources to perform the services; and

WHEREAS, the parties intend by this Agreement to set forth the terms and conditions under which Service Provider will provide services, deliverables and related obligations to Client.

WHEREAS, the parties agree that certain information exchanged in connection with performance under this Agreement will be treated as confidential under the terms below.

Scope of Work

The Service Provider shall perform the services and provide the deliverables set forth below. Any change or expansion of the Scope of Work shall be subject to a written change order signed by both parties.

Payment Terms

Client shall pay Service Provider for the services described above in accordance with the following terms.

One-time payment upon execution    Monthly installments    Milestone-based payments

If Client fails to pay any undisputed amount when due, Service Provider may charge interest at the rate specified above per month or the maximum rate permitted by law, whichever is less, and may suspend performance until payment is made.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective date of termination. Termination for material breach may be immediate if the breaching party fails to cure within the specified notice period.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence all non-public, proprietary or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Agreement ("Confidential Information"). Confidential Information does not include information that is: (a) publicly known through no fault of Receiving Party; (b) rightfully received from a third party without restriction; (c) independently developed by Receiving Party without use of Disclosing Party's Confidential Information; or (d) required to be disclosed by law, provided Receiving Party gives prompt notice and limits disclosure to the extent permitted.

Receiving Party shall not disclose, distribute or use Disclosing Party's Confidential Information except as necessary to perform under this Agreement. Upon termination or request, Receiving Party shall promptly return or destroy Confidential Information and certify such return or destruction in writing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in for disputes arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including any exhibits and signed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, representations and understandings, whether written or oral. No amendment to this Agreement will be effective unless in writing and signed by both parties.

Additional Provisions

Independent Contractor: Service Provider is an independent contractor and not an employee, partner or agent of Client. Service Provider shall be responsible for all employment taxes, benefits and insurance for its personnel.

Indemnification: Each party shall indemnify and hold harmless the other from third-party claims arising from its gross negligence or willful misconduct in performance of this Agreement, subject to any limitations agreed in writing.
