This Business Hall Rental Agreement (the "Agreement") is entered into as of between the parties set forth below.

WHEREAS, the Owner controls and operates the premises commonly known as the Business Hall identified herein and is willing to permit use of the premises for the purposes described below; and

WHEREAS, the Renter desires to reserve and use the premises for a business event or gathering on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to set forth the complete understanding between them regarding the rental, services, payment and obligations of the parties.

Scope of Work

The Owner shall provide the premises and the following services and amenities as part of this rental. The Renter shall comply with the rules and responsibilities described below. Any additional services or deviations must be agreed in writing by both parties.

Payment Terms

Late Payment: If any amount due is not received by the due date, the Renter shall pay a late fee of on the overdue balance, calculated from the date due until paid in full.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice. Owner may also terminate for nonpayment or a material danger to persons or property without prior notice.

Confidentiality

Each party shall maintain in confidence any non-public business information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except as required by law or with the prior written consent of the disclosing party. This obligation shall survive termination of this Agreement for a period of three (3) years.

Insurance and Indemnification

The Renter shall maintain at its expense commercial general liability insurance naming the Owner as an additional insured for claims arising out of the Renter's use of the premises. Renter shall indemnify, defend and hold harmless the Owner from and against all claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising from Renter's use of the premises, except to the extent caused by Owner's gross negligence or willful misconduct.

Cancellations and Force Majeure

Cancellation by the Renter more than 30 days prior to the Event Date shall entitle the Renter to a refund of the security deposit less reasonable administrative expenses. Cancellations within 30 days are subject to forfeiture of the deposit and may require payment of a portion or all of the rental fee as liquidated damages. Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, epidemic, government orders, or labor disruptions.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any legal action arising from this Agreement must be brought in a court of competent jurisdiction within that State.

Entire Agreement

This Agreement, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, proposals and agreements, whether written or oral. No modification of this Agreement shall be binding unless in writing and signed by both parties.

Miscellaneous Provisions

Assignment: The Renter may not assign or sublicense its rights hereunder without the prior written consent of the Owner. Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as either party designates in writing.
