What the Business HM Template is and when it applies

The Business HM Template is a standardized hold-harmless and indemnity agreement used by businesses to allocate risk between contracting parties. It sets out the scope of liability protection, required indemnities, and any conditions or limitations on recovery. The template is intended for commercial relationships where one party seeks contractual protection from losses, third-party claims, or specified liabilities arising from the other party’s acts or omissions. Because it affects legal rights, parties typically tailor jurisdiction, remedies, and insurance language to their circumstances before execution.

Why use a formal Business HM Template

A clear hold-harmless clause reduces ambiguity about who bears loss, streamlines contract negotiation, and supports insurance and compliance reviews. When drafted consistently, the template assists legal and operations teams in assessing exposure, aligning indemnity with insurance limits, and documenting mutual obligations in a way courts and insurers can evaluate under state law and industry norms.

Why use a formal Business HM Template

Who typically completes this Business HM Template

Use the template as a starting point; route material changes to legal counsel for final review before signing to ensure enforceability in the governing jurisdiction.

  • Procurement and supply chain teams managing vendor relationships and service contracts.
  • Legal departments standardizing indemnity language across contracts and projects.
  • Operations or project managers coordinating site access, services, or subcontractor work.

Signatory roles and typical approvers

Authorized Signer

An officer or delegated manager authorized under corporate bylaws to bind the company. Confirm signature authority in corporate resolution or delegated authority matrix before execution.

Legal Reviewer

In-house or external counsel who reviews indemnity scope, insurance requirements, and choice-of-law clauses to ensure alignment with company risk policy and state law.

Core sections to include in a professional Business HM Template

A complete template organizes the agreement so readers can quickly identify obligations, exclusions, limits, and administrative steps like notice and claims procedures.

Indemnity Clause

Defines the indemnitor’s obligations to defend, indemnify, and hold harmless for specified claims and losses; clarify scope and third-party claims handling.

Limits of Liability

Caps, deductibles, or carve-outs that limit recoverable damages; align these with insurance coverage to avoid coverage gaps.

Insurance Requirements

Specify types and minimum limits (general liability, professional, umbrella), naming conventions for additional insured endorsements, and certificate delivery.

Exclusions and Carve-outs

Common exclusions include sole negligence, willful misconduct, statutory fines, and intellectual property claims; draft carefully to avoid unintended breadth.

Notice and Claims Process

Procedures and timelines for providing claim notices, cooperating with defense, and selecting counsel; include required contact information.

Governing Law and Remedies

State choice-of-law, venue, and dispute resolution (litigation vs. arbitration) provisions that determine how the indemnity will be enforced.

Example scenarios showing how organizations use the Business HM Template

Real-world examples illustrate common adaptations and where counsel review proved necessary.

Construction Subcontract

A general contractor required subcontractors to sign a hold-harmless clause tailored to site hazards.

  • Contractor added insurance endorsement requirements.
  • Result: clearer claims path and proof of coverage during disputes, reducing litigation time and enabling quicker insurer engagement.

Vendor Services Agreement

A technology buyer used the template to shift third-party liability for data handling to the vendor.

  • Vendor negotiated carve-outs for gross negligence.
  • Outcome: Both parties documented responsibilities and required cyber insurance, improving clarity for incident response and indemnity claims.

Practical drafting and execution tips for accuracy and enforceability

Follow these drafting habits to reduce ambiguity, align insurance, and simplify dispute resolution.

Use precise scope language
Define covered acts, persons, locations, and timeframes to avoid broad interpretations that courts may narrow.
Align with insurance
Draft indemnity to reflect available insurance types and limits; require certificates and additional insured endorsements up front.
Limit and carve out
Include reasonable caps and carve-outs for willful misconduct or statutory fines to increase enforceability in some jurisdictions.
Document execution chain
Preserve audit trails, retain executed originals, and log approvals and authority confirmations for future disputes.
