GENERAL BUSINESS AGREEMENT — BUSINESS HOME PAGE APP

Parties and Effective Date

This Agreement is entered into effective as of (the Effective Date) by and between:

Recitals

WHEREAS, Client desires to engage Developer to design, develop and deliver a Business Home Page App (as defined below) to present Client’s business, services and contact information online in accordance with the scope described in this Agreement; and

WHEREAS, Developer represents that it has the expertise, resources and personnel necessary to provide design, development, testing and deployment services for the Business Home Page App; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the design, development, acceptance, payment, delivery and ongoing support of the Business Home Page App.

Scope of Work

Developer shall design, develop, test and deliver a Business Home Page App that provides a responsive single-page home interface, business description, service listings, contact form integration, image gallery, basic SEO metadata, and deployment to the Client-designated hosting environment. Deliverables shall include source code, compiled assets, and a deployment checklist.

Payment Terms

Client shall pay Developer for the services and deliverables described in this Agreement in accordance with the amounts and schedule set forth below.

All amounts are exclusive of taxes. Client shall reimburse Developer for reasonable, pre-approved expenses incurred in performance if any. Developer may suspend performance for nonpayment thirty (30) days after written notice has been provided and payment remains outstanding.

Term and Termination

This Agreement commences on the Effective Date and continues until completion and final acceptance of the Deliverables, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within fourteen (14) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party (the Receiving Party) shall keep confidential all non-public information identified as confidential and disclosed by the other party (the Disclosing Party) in connection with this Agreement. Confidential Information excludes information that: (a) is or becomes generally available to the public other than by disclosure in breach of this Agreement; (b) was independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information; or (c) is required to be disclosed by law or valid court order, provided the Receiving Party gives prompt written notice and cooperates with the Disclosing Party to seek protective measures.

Intellectual Property and License

Developer shall retain ownership of Developer’s pre-existing tools, libraries and components. Subject to Client’s payment in full for the Deliverables, Developer assigns and conveys to Client all right, title and interest in and to the final deliverables specifically created for Client under this Agreement. Developer grants Client a perpetual, non-exclusive, worldwide license to any Developer-owned components incorporated into the Deliverables to the extent necessary for Client’s use of the Deliverables.

Representations, Warranties and Remedies

Developer represents that the Deliverables will materially conform to the agreed Scope of Work for a period of thirty (30) days after acceptance. Developer’s sole obligation for breach of this warranty shall be to correct nonconforming work within a commercially reasonable time. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, DEVELOPER DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Indemnification and Limitation of Liability

Each party agrees to indemnify and hold harmless the other party from losses arising from third-party claims to the extent caused by the indemnifying party’s negligence or willful misconduct. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES. EXCEPT FOR A PARTY’S INDEMNITY OBLIGATIONS OR BREACH OF CONFIDENTIALITY, THE AGGREGATE LIABILITY OF EITHER PARTY SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE UNDER THIS AGREEMENT.

Governing Law and Dispute Resolution

This Agreement will be governed by and construed in accordance with the laws of the state identified below, without regard to its conflict of law principles. The parties agree to attempt in good faith to resolve disputes through negotiation and, if unsuccessful, to submit to the exclusive jurisdiction of the state and federal courts located in the chosen state.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, proposals and understandings, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

The relationship of the parties is that of independent contractors. Nothing in this Agreement creates an employment, partnership or agency relationship. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
