What the Business Hosted Service Agreement Covers

A Business Hosted Service Agreement is a contract that defines the commercial relationship, responsibilities, and legal terms between a service provider who hosts software or data and a business customer. It typically addresses scope of services, uptime and service-level commitments, data security and privacy obligations, data ownership, permitted use, fees and payment terms, term and termination rights, and post-termination data return or deletion. The agreement also allocates liability, sets indemnification and insurance expectations, and may include a Data Processing Addendum or Business Associate Agreement when regulated data is involved.

Why this agreement matters for hosted services

The Business Hosted Service Agreement clarifies each party's duties, reduces operational risk, and creates measurable expectations for uptime, support, incident handling, and data protection. Clear terms prevent disputes and support regulatory compliance when personal, financial, or health data is hosted.

Why this agreement matters for hosted services

Who prepares and signs a Business Hosted Service Agreement

Typical users include procurement teams, IT and security personnel, legal counsel, and vendor account managers who negotiate hosting terms.

  • Procurement and Sourcing teams that evaluate pricing, SLAs, and termination terms for hosted services.
  • IT and Security leaders who verify encryption, access controls, incident response, and compliance obligations.
  • Legal departments or external counsel that review liability, indemnities, data processing clauses, and governing law provisions.

Final execution usually involves authorized signatories or officers with contract authority and any technical contacts listed for operational coordination.

Who has signing authority

Signing Officer

An officer or director authorized by corporate resolution or bylaws should sign. Confirm corporate signing limits and obtain board approval if the agreement exceeds delegated authority or involves long-term financial commitments.

IT Administrator

An operations or IT designee may countersign or acknowledge operational exhibits detailing access, onboarding, and support processes but typically cannot bind the company on indemnity or payment terms.

Minimum security and compliance items to include

Encryption: AES-256 at rest; TLS 1.2/1.3 in transit
Access Controls: Role-based access with MFA for admins
Audit Trail: Detailed logs, timestamps, exportable
BAA Availability: Business Associate Agreement if HIPAA data
21 CFR Support: FDA-regulated records support, if required
Certifications: SOC 2 Type II, ISO 27001 where applicable

Penalties, compliance risks, and common liabilities

Tax Penalties: Incorrect records may trigger IRS penalties
I-9 Violations: Retention errors incur DHS fines
HIPAA Fines: Breach reporting and monetary penalties
Contract Damages: Liquidated or actual damages claims
Notarization Errors: Invalid execution if notary steps missing
Reputational Risk: Customer trust loss and business impact

Frequent mistakes to avoid when preparing the agreement

  • Using vague SLA language such as 'commercially reasonable efforts' without measurable uptime percentages and remedies can leave expectations unenforceable and slow dispute resolution.
  • Failing to include data return or deletion instructions tied to the termination date can create retention conflicts and increase exposure to data breach claims.
  • Not aligning the Data Processing Addendum or BAA with actual technical controls may result in noncompliance with HIPAA or other sector regulations.
  • Neglecting to confirm signer authority or corporate execution requirements risks later challenges to the agreement's validity.

Step-by-step: completing a Business Hosted Service Agreement

Follow this sequence when preparing, reviewing, and executing the agreement to reduce omissions and accelerate onboarding.

  • 01
Prepare draft: Populate party names, scope of services, and fees precisely.
  • 02
Security review: IT validates encryption, backups, and access controls against requirements.
  • 03
Legal review: Legal confirms indemnities, limits of liability, and governing law.
  • 04
Execute: Authorized signatories sign and retain final executed copies.

How the hosted service lifecycle typically works

This high-level flow shows the essential stages from negotiation through service termination and data disposition.

  • Negotiate terms: Agree on scope, pricing, SLAs, and data obligations.
  • Onboard: Provision accounts, set access, and transfer initial data.
  • Operate: Monitor performance, manage incidents, and apply patches.
  • Offboard: Return or delete data per agreement and revoke access.
